The Biologist engaged under this Purchase Order shall perform duties exclusively within the China Beijing jurisdiction, adhering to all applicable national and municipal regulations. Key deliverables include:

Completion of Phase I and Phase II molecular biology research protocols with documented results submitted monthly to the Buyer's R&D Director.
Preparation of a comprehensive genomic data interpretation report within 30 days of receiving raw sequencing data.
Submission of a laboratory safety audit report compliant with the China Beijing Municipal Bureau of Science and Technology guidelines within 21 days of the audit engagement.
Conduct of three structured training sessions for junior staff, each session lasting no fewer than four hours, with attendance records and competency assessments filed with HR.
Timely preparation and submission of all regulatory filings required by the National Medical Products Administration (NMPA) and the Beijing Municipal Health Commission.

Payment Schedule: 30% advance payment upon execution of this Purchase Order; 40% upon completion of Phase I deliverables; 30% upon final acceptance of all services.
Payment Method: Bank transfer to the Biologist's designated account at Industrial and Commercial Bank of China (ICBC), Beijing Haidian Branch. Account details to be provided in a separate secure annex.
Invoice Requirements: The Biologist shall issue a compliant Chinese VAT invoice (fapiao) for each payment tranche. All invoices must reference this Purchase Order number (PO-CB-2025-04872).
Payment Due Date: Net 30 days from receipt of a valid invoice. Late payments shall accrue interest at 0.05% per calendar day as stipulated under Chinese commercial law.

This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable regulations of the China Beijing municipal government.
The Biologist warrants that all professional qualifications, including the Chinese National Biologist Certification (Level I), are current and valid for the duration of this engagement.
All intellectual property generated during the course of this Purchase Order shall vest in the Buyer, Beijing Advanced Life Sciences Institute Co., Ltd., unless otherwise agreed in a separate written addendum.
The Biologist shall maintain professional liability insurance with a minimum coverage of CNY 2,000,000, valid throughout the service period in China Beijing.
Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
Confidentiality obligations under the China Beijing Data Security Law and the Personal Information Protection Law shall apply to all data handled by the Biologist during the engagement.
Disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in accordance with its rules of procedure.
This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Biologist services and supersedes all prior negotiations, representations, or agreements.
