This Purchase Order is issued by Andean Environmental Sciences Consortium S.A.S. to BioTropica Professional Services Ltda. for the provision of specialized Biologist professional services to be executed within the city of Colombia Bogotá and its surrounding metropolitan area. The Biologist engaged under this Purchase Order shall be a fully licensed and certified professional holding a minimum of a Master's degree in Biological Sciences, Ecology, or a closely related discipline, and shall possess no fewer than eight (8) years of documented field experience in Colombian ecosystems.
The scope of work under this Purchase Order requires the Biologist to conduct comprehensive biodiversity assessments, environmental impact evaluations, and ecological monitoring programs across multiple sites located in the Bogotá savanna, the Chingaza National Park periphery, and the Bogotá River basin. The Biologist shall be responsible for designing sampling protocols, collecting biological specimens in accordance with Colombian environmental regulations (Ley 99 de 1993 and Decreto 1076 de 2015), performing laboratory analyses, and delivering detailed technical reports to the Buyer within the timelines specified in this Purchase Order.

All amounts stated in this Purchase Order are denominated in Colombian Pesos (COP) and are inclusive of applicable IVA (VAT) at the current rate of 19% as mandated by the Colombian National Tax Authority (DIAN). Payment shall be made via electronic bank transfer (EFT) to the account designated by BioTropica Professional Services Ltda. within thirty (30) calendar days from the date of receipt of a valid invoice. The Buyer reserves the right to withhold up to ten percent (10%) of each payment as a performance guarantee until final acceptance of all deliverables specified in this Purchase Order.
6.1 The Biologist assigned to this Purchase Order must hold a valid professional license (Registro Calificado) issued by the Colombian Ministry of Environment, Housing and Territorial Development (Ministerio de Ambiente, Vivienda y Desarrollo Territorial) or its successor entity.
6.2 All fieldwork conducted in Colombia Bogotá and its surrounding areas shall comply with the Colombian Environmental Code (Código Nacional de Recursos Naturales Renovables y de Protección al Medio Ambiente, Ley 99 de 1993) and all applicable municipal ordinances of Bogotá, D.C.
6.3 The Biologist shall maintain full professional liability insurance with a minimum coverage of COP 500,000,000, valid throughout the duration of this Purchase Order.
6.4 Any modification to the scope, timeline, or pricing of this Purchase Order must be documented in a written addendum signed by both parties. Verbal agreements shall not constitute a valid amendment to this Purchase Order.
6.5 The Supplier shall ensure that the Biologist complies with all occupational health and safety regulations applicable in Colombia Bogotá, including those issued by the Ministry of Labor (Ministerio del Trabajo).
6.6 This Purchase Order is governed by the commercial law of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Bogotá, D.C., Colombia.
The Biologist shall commence field operations in Colombia Bogotá no later than July 1, 2025. All deliverables, including technical reports and laboratory results, shall be submitted to the Buyer's office at Carrera 15 # 93-45, Piso 12, Bogotá, D.C., in both digital (PDF) and hard-copy format. The final project completion date under this Purchase Order is set for September 30, 2025, subject to weather-related delays in the Bogotá highland region, which shall be communicated in writing within forty-eight (48) hours of occurrence.
This Purchase Order becomes effective upon signature by both parties. By signing below, each party acknowledges that it has read, understood, and agrees to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Biologist professional services in Colombia Bogotá.
