This Purchase Order formally authorizes the engagement of a qualified Biologist to provide specialized scientific services at the Andes BioSciences S.A.S. research facilities located in Medellín, Colombia. The Biologist shall be responsible for conducting environmental impact assessments, molecular analysis of native Andean flora and fauna samples, water quality monitoring of the Aburrá Valley watershed, and compliance reporting in accordance with the regulations established by the Corporación Autónoma Regional del Valle de Aburrá (CRA) and the Ministry of Environment, Housing and Sustainable Development of Colombia. The Biologist must hold a valid professional license issued by the relevant Colombian regulatory body and demonstrate a minimum of eight (8) years of field and laboratory experience in tropical and subtropical ecosystems.

TERMS AND CONDITIONS- This Purchase Order is governed by the commercial laws of the Republic of Colombia. Any disputes arising from this Biologist engagement shall be resolved through the competent commercial courts of Medellín, Antioquia, Colombia.
- The Biologist shall comply with all occupational health and safety regulations established by the Ministry of Labor of Colombia (Ministerio del Trabajo) and the applicable norms of the Sistema General de Riesgos Laborales (SGRL).
- All biological samples, data, and research outputs generated under this Purchase Order shall remain the exclusive intellectual property of Andes BioSciences S.A.S. The Biologist agrees to sign a non-disclosure agreement (NDA) prior to commencing work in Medellín.
- Payment shall be made via electronic bank transfer (EFT) to the account specified above within thirty (30) calendar days of receipt of a valid invoice (factura electrónica) issued in accordance with the DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing requirements of Colombia.
- The Biologist is engaged as an independent contractor and not as an employee of Andes BioSciences S.A.S. The Biologist is solely responsible for the payment of all applicable taxes, social security contributions (pensión, salud, ARL), and any other statutory obligations under Colombian labor and tax law.
- Service delivery and all on-site work shall take place at the Andes BioSciences S.A.S. premises in El Poblado, Medellín, Antioquia, Colombia, unless otherwise agreed in writing for fieldwork locations within the Antioquia department.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination.
- The Biologist warrants that all scientific methods, analyses, and reports delivered under this Purchase Order shall meet the quality standards established by the Colombian Technical Standards (NTC) and applicable international ISO norms for environmental and molecular biology laboratories.
- Any modifications to the scope, timeline, or pricing of this Purchase Order must be documented in a written addendum signed by both parties and registered with the procurement office in Medellín.
