Terms & Conditions of This Purchase Order
- This Purchase Order is issued by Negev Biomedical Research Institute Ltd., a registered entity in Israel Tel Aviv, and constitutes a binding agreement upon acceptance by the named Biologist, Dr. Yosef Ben-Ari, Ph.D.
- All services rendered by the Biologist shall be performed in accordance with the Israeli Health Professions Law (5733-1973) and the regulations of the Israel Medical Association. The Biologist must maintain valid professional licensure throughout the duration of this Purchase Order.
- Payment terms: Net 30 days from the date of invoice submission. Payment shall be made via bank transfer to the account designated by the Biologist. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Israeli commercial law.
- The Biologist agrees to maintain full professional confidentiality regarding all patient data, proprietary research materials, and institutional information encountered during the scope of this Purchase Order, in compliance with the Israeli Privacy Protection Law (5741-1981).
- All laboratory work and field activities related to this Purchase Order shall be conducted at the designated facility located in Israel Tel Aviv, unless otherwise agreed in writing by both parties.
- The Biologist shall provide weekly progress reports to the Procurement Director. Any deviation from the agreed scope of work requires a formal amendment to this Purchase Order signed by both parties.
- This Purchase Order may be terminated by either party with 30 days written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the termination date.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Tel Aviv, Israel, in accordance with the Israeli Arbitration Law (5728-1968). The governing law of this Purchase Order is the law of the State of Israel.
- The Biologist shall carry professional liability insurance with a minimum coverage of 500,000 ILS for the duration of this engagement. Proof of insurance must be submitted prior to commencement of services.
