The Biologist shall deliver all services in accordance with the Italian Legislative Decree D.Lgs. 81/2008 on workplace safety, the EU Directive 2000/60/EC on water framework compliance, and all applicable regulations of the Regione Campania. All fieldwork, laboratory analysis, and reporting shall be conducted at the Buyer's primary facility located in Naples, Italy, or at designated field sites within the Naples metropolitan province as mutually agreed upon in writing prior to commencement.

1. Delivery / Performance Period: The Biologist shall commence services on 1 July 2025 and shall complete all deliverables no later than 30 November 2025. All work shall be performed within the jurisdiction of Italy Naples unless otherwise authorized in writing by the Buyer.
2. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice (fattura elettronica) issued by the Biologist. Payment shall be executed via bank transfer (bonifico bancario) to the IBAN specified on the invoice. Late payments shall accrue interest at the rate prescribed by Italian Civil Code Article 1284.
3. Intellectual Property: All data, reports, specimens, and intellectual property generated under this Purchase Order shall remain the exclusive property of the Buyer. The Biologist grants a non-exclusive, royalty-free license to use any pre-existing methodologies or tools incorporated into the deliverables.
4. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, project details, and internal communications of the Buyer, in accordance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR, Regulation 2016/679).
5.
