All deliverables under this Purchase Order must reflect the highest standards of scientific rigor and adherence to Japanese regulatory frameworks governing biological research conducted in Japan Kyoto.

3. TERMS AND CONDITIONS

  1. Scope of Work: The Biologist shall perform all duties described in Section 2 of this Purchase Order in full compliance with the Japan Act on the Conservation of Endangered Species and the Kyoto Prefectural Environmental Ordinance. Any deviation from the agreed scope requires written amendment to this Purchase Order signed by both parties.
  2. Project Timeline: The Biologist shall commence work on 1 July 2025 and shall complete all deliverables no later than 30 November 2025. Milestone deadlines are as follows: Fieldwork completion by 31 August 2025; Laboratory analysis completion by 30 September 2025; Final report submission by 30 November 2025.
  3. Payment Terms: Payment shall be made in three installments: 30% upon execution of this Purchase Order, 40% upon completion of laboratory analysis (Item 02), and 30% upon acceptance of the final biological report (Item 05). All payments shall be transferred via bank wire to the account designated by the Biologist. Payment is due within thirty (30) calendar days of invoice receipt.
  4. Intellectual Property: All data, specimens, reports, and findings generated under this Purchase Order shall be the exclusive property of KABRI. The Biologist retains the right to publish peer-reviewed academic papers derived from the research, subject to a sixty (60) day prior review period by KABRI and full attribution to the Japan Kyoto research context.
  5. Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary data, unpublished findings, and internal KABRI communications. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  6. Insurance and Liability: The Biologist shall maintain professional liability insurance with a minimum coverage of 50,000,000 JPY throughout the duration of this Purchase Order. The Biologist shall be responsible for any damage to biological specimens or laboratory equipment caused by negligence during the course of work in Japan Kyoto.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biologist shall be compensated for all work completed and documented up to the date of termination, less any costs saved by KABRI.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Kyoto under the rules of the Japan Commercial Arbitration Association.
  9. Compliance: The Biologist warrants that all work performed under this Purchase Order shall comply with applicable Japanese national and prefectural regulations, including but not limited to the Wildlife Protection Act, the Environmental Impact Assessment Act, and all local ordinances of Japan Kyoto pertaining to biological research and fieldwork.

4. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Biologist services in Japan Kyoto. This Purchase Order constitutes a binding agreement between the parties upon full execution.
