This Purchase Order is issued by the Himalayan Biodiversity Research Institute, located in Nepal Kathmandu, to engage the services of a qualified Biologist for the comprehensive ecological survey, species documentation, and environmental impact assessment of the Kathmandu Valley watershed region. The Biologist shall perform all duties in accordance with the standards set forth by the Department of Environment, Government of Nepal, and the Nepal Biodiversity Conservation Act. This Purchase Order constitutes a binding agreement between the parties for the scope of work described herein.

- This Purchase Order is governed by the laws of the Kingdom of Nepal and shall be interpreted in accordance with the Contract Act, 2023 (Nepal). All disputes arising from this Purchase Order shall be resolved through arbitration in Kathmandu, Nepal.
- The Biologist shall maintain valid professional registration with the Nepal Research Council and shall carry professional liability insurance with a minimum coverage of NPR 5,000,000 throughout the duration of this engagement in Nepal Kathmandu.
- All fieldwork conducted by the Biologist within the Kathmandu Valley, Nepal, shall comply with the Nepal Wildlife Preservation Act and the Forest and Nature Conservation Act. Permits required for access to protected areas shall be obtained at the cost of the issuing organization.
- Payment shall be made in Nepalese Rupees (NPR) via bank transfer to the Biologist's designated account in Kathmandu, Nepal, within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number.
- The Biologist shall submit a detailed work plan within seven (7) days of the issue date of this Purchase Order. Failure to do so shall entitle the Institute to cancel this Purchase Order without penalty.
- All data, samples, and reports generated by the Biologist during the course of this engagement in Nepal Kathmandu shall become the exclusive property of the Himalayan Biodiversity Research Institute upon full payment.
- The Biologist shall not subcontract any portion of the work described in this Purchase Order without prior written consent from the Institute's Director, Kathmandu, Nepal.
- Force majeure events, including but not limited to natural disasters common to the Nepal Kathmandu region (earthquakes, monsoon flooding, landslides), shall extend the delivery deadline proportionally. The Biologist must notify the Institute within 48 hours of any such event.
- This Purchase Order may be amended only by mutual written agreement signed by both parties in Kathmandu, Nepal. No verbal modifications shall be valid.
- The Biologist agrees to maintain confidentiality of all proprietary research data and institutional information encountered during the performance of services under this Purchase Order in Nepal Kathmandu.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Biologist in Nepal Kathmandu. This document is executed in two (2) original copies, one retained by each party.
