Terms & Conditions – Purchase Order PO-2025-AM-04872
- This Purchase Order is issued by Amsterdam BioSciences Research Institute, Netherlands Amsterdam, and constitutes a binding request for the Biologist, Dr. Hendrik van der Berg, to deliver the services and supplies as described herein.
- The Biologist shall perform all fieldwork, laboratory analysis, and reporting activities in full compliance with the Dutch Environmental Management Act (Wet milieubeheer), the EU General Data Protection Regulation (GDPR), and all applicable biological safety protocols enforced in Netherlands Amsterdam.
- All deliverables, including the ecological impact report and specimen analysis data, shall be submitted in both Dutch and English to ensure accessibility for the Netherlands Amsterdam municipal authorities and the international research community.
- The Biologist warrants that all laboratory reagents and consumables supplied under this Purchase Order shall be new, unopened, and compliant with NEN-EN ISO 17025 standards. Any non-conforming materials must be replaced at the Biologist's own expense within five (5) business days.
- Payment shall be made via bank transfer to the account specified by the Biologist within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number. Late payments shall accrue interest at the statutory Dutch rate.
- The Biologist shall maintain full professional liability insurance with a minimum coverage of € 1,000,000 for the duration of the contract. A certificate of insurance must be provided prior to commencement of work in Netherlands Amsterdam.
- Any changes to the scope of work, delivery schedule, or pricing must be agreed upon in writing by both parties and documented as an amendment to this Purchase Order. Verbal modifications are not valid.
- The Biologist grants the Buyer full intellectual property rights over all data, reports, and findings generated specifically under this Purchase Order. The Biologist retains rights to pre-existing methodologies and general knowledge.
- This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be resolved by the competent court in Amsterdam, Netherlands.
- The Biologist shall comply with all health and safety regulations applicable to biological research facilities in Netherlands Amsterdam, including but not limited to the Dutch Working Conditions Act (Arbowet) and institutional biosafety level requirements.
