Description of Services – Biologist EngagementThis Purchase Order is issued by GreenSolutions BioResearch Ltd. to formally engage the services of a qualified Biologist for the duration of the Lagos Coastal Ecosystem Study 2025. The Biologist shall be responsible for conducting comprehensive field surveys, laboratory analyses, species identification, ecological assessments, and the preparation of scientific reports pertaining to the marine and terrestrial biodiversity of the Lagos Lagoon and its surrounding wetland habitats in Nigeria Lagos. The engagement of this Biologist is critical to ensuring that all biological data collected within the Nigeria Lagos metropolitan area meets the international standards required by the National Environmental Standards and Regulations Enforcement Agency (NESREA) and the Federal Ministry of Environment.

- This Purchase Order constitutes a binding agreement between GreenSolutions BioResearch Ltd. and the named Biologist (Dr. Adaeze Okafor) for the provision of biological research and consultancy services as described herein. All work shall be performed within the jurisdiction of Nigeria Lagos, specifically within the Lagos State boundaries.
- The Biologist shall be a registered member of the Nigerian Society of Biological Sciences (NSBS) and shall hold a minimum of a Master's degree in Biology, Ecology, or a closely related discipline. A valid professional indemnity insurance certificate covering operations in Nigeria Lagos shall be provided prior to commencement of work.
- All biological samples collected during fieldwork in Nigeria Lagos shall be handled in strict accordance with the Nigerian Wildlife Act, the Endangered Species (Enforcement) Act, and the guidelines issued by the National Biodiversity Authority. The Biologist assumes full responsibility for compliance with these regulations.
- Payment shall be made in three (3) equal instalments: 40% upon execution of this Purchase Order, 35% upon submission of the interim field report, and 25% upon delivery and acceptance of the final Biological Impact Assessment Report. All payments shall be made via bank transfer to the account designated by the Biologist.
- The Biologist shall submit weekly progress reports to the Project Manager at GreenSolutions BioResearch Ltd. located at 14B Admiralty Way, Lekki Phase 1, Lagos, Nigeria. Failure to submit two (2) consecutive weekly reports without prior written justification shall constitute a material breach of this Purchase Order.
- All intellectual property, data, and reports generated under this Purchase Order shall remain the exclusive property of GreenSolutions BioResearch Ltd. The Biologist shall not publish, distribute, or disclose any findings without prior written consent from the contracting party.
- The Biologist shall comply with all health and safety regulations applicable to fieldwork in Nigeria Lagos, including but not limited to the use of appropriate personal protective equipment when working in the Lagos Lagoon and mangrove ecosystems. The Biologist shall carry a minimum of NGN 5,000,000 in professional liability insurance.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, LFN 2004).
- The Biologist shall not subcontract any portion of the work described in this Purchase Order without the prior written approval of GreenSolutions BioResearch Ltd. Any approved subcontracting must be disclosed in writing at least seven (7) days before the subcontracted work commences.
- This Purchase Order shall be considered void if not accepted and signed by the Biologist within fourteen (14) calendar days of the date of issue. The Biologist's acceptance shall be evidenced by a signed copy returned to the procurement office in Nigeria Lagos.
By signing below, the Biologist acknowledges receipt of this Purchase Order and agrees to perform all services described herein in full compliance with the terms and conditions set forth above. The Biologist confirms that all qualifications, registrations, and insurance certificates referenced in this document are valid and current as of the date of signature.
