1. Description of Purchase Order and Scope of Work
This Purchase Order is issued by the Marine & Environmental Research Institute (MERI), Karachi, Pakistan, to procure the professional services of a qualified Biologist to support the Karachi Coastal Biodiversity Survey 2025. The Biologist engaged under this Purchase Order shall be responsible for conducting field sampling, taxonomic identification, ecological data collection, and laboratory analysis of marine and estuarine organisms along the coastline of Karachi, Pakistan. The scope of work encompasses the Makara Coastal Zone, the Indus Delta estuary, and the Clifton Beach area within the jurisdiction of Karachi, Sindh, Pakistan. The Biologist must hold a minimum of a Master's degree in Marine Biology, Zoology, or a closely related life science discipline, with at least five (5) years of documented field research experience in the coastal ecosystems of Pakistan.

3. Terms and Conditions of This Purchase Order
- Acceptance: This Purchase Order shall become binding upon written acceptance by BioScience Professionals (Pvt.) Ltd. within seven (7) calendar days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
- Qualification of Biologist: The Biologist assigned to this Purchase Order must submit a certified copy of their academic credentials, a detailed CV, and at least two (2) reference letters from recognized institutions in Pakistan prior to commencing fieldwork in Karachi. MERI reserves the right to reject the Biologist if qualifications do not meet the stated requirements.
- Work Location: All fieldwork, laboratory work, and reporting activities under this Purchase Order shall be conducted within Karachi, Sindh, Pakistan, unless prior written approval is obtained from the Project Director, MERI Karachi, for travel to the Indus Delta region.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon commencement of fieldwork, 40% upon submission of interim data to MERI Karachi, and 30% upon final acceptance of the completed biodiversity report. All payments shall be processed via bank transfer to the vendor's account in Pakistan.
- Intellectual Property: All data, specimens, photographs, and reports generated by the Biologist under this Purchase Order shall remain the exclusive property of MERI, Karachi, Pakistan. The Biologist may reference the work in academic publications only with prior written consent from MERI.
- Compliance with Pakistani Law: The Biologist and the vendor shall comply with all applicable laws of the Islamic Republic of Pakistan, including the Sindh Wildlife Protection Act, the Pakistan Environmental Protection Act (1997), and all regulations of the Karachi Metropolitan Corporation (KMC) regarding coastal access and sampling permits.
- Insurance: The vendor shall maintain comprehensive professional liability insurance and personal accident coverage for the Biologist throughout the duration of this Purchase Order, with a minimum coverage of PKR 5,000,000, valid within Pakistan.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the vendor shall be compensated for work completed and documented up to the date of termination, as verified by MERI Karachi.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in Karachi, Pakistan, in accordance with the Arbitration Act, 1940 of Pakistan. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions in Karachi, Pakistan, or other events beyond reasonable control, provided written notice is given within 48 hours of the event.
