1. Scope of Engagement: The Supplier shall recruit, vet, and place a qualified Biologist with a minimum of five (5) years of post-doctoral research experience in molecular or cellular biology. The Biologist shall report directly to the Head of Research at the Buyer's facility in Russia Saint Petersburg and shall comply with all applicable Russian Federation labor laws, scientific ethics regulations, and institutional protocols.
2. Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's premises located in Russia Saint Petersburg, 199034. The Biologist shall not be required to perform duties outside the administrative boundaries of Russia Saint Petersburg without prior written consent from both parties.
3. Contract Duration: The engagement of the Biologist shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, unless terminated earlier in accordance with Clause 7 of this Purchase Order.
4. Payment Terms: The Buyer shall remit payment within thirty (30) calendar days from the date of receipt of a valid invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated account in rubles (RUB). The initial recruitment fee (Item 01) is due upon successful placement of the Biologist. Monthly service fees (Item 02) are due on the first business day of each subsequent month.
5. Quality Assurance: The Supplier guarantees that the Biologist placed under this Purchase Order shall meet all academic and professional qualifications specified in the job description. In the event the Biologist fails to meet performance benchmarks within the first sixty (60) days, the Supplier shall provide a replacement Biologist at no additional cost to the Buyer.
6. Confidentiality: Both parties acknowledge that the Biologist will have access to proprietary research data, unpublished findings, and trade secrets of the Buyer. The Biologist shall be bound by a non-disclosure agreement (NDA) executed prior to commencing work in Russia Saint Petersburg. All confidential information shall be handled in strict accordance with Federal Law No. 152-FZ on Personal Data and applicable intellectual property statutes.
7. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of material breach by the Supplier, the Buyer may terminate immediately upon written notice. Upon termination, all outstanding invoices for services rendered up to the termination date shall be settled within fifteen (15) business days.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the civil legislation of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration at the Arbitration Court of Russia Saint Petersburg, in accordance with the applicable procedural rules.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Saint Petersburg.

The Supplier shall confirm the successful placement of the Biologist in writing within five (5) business days of the Biologist's first day of active duty at the Buyer's facility in Russia Saint Petersburg. The Buyer shall have a period of ten (10) business days from the date of placement to inspect and formally accept the services. Acceptance shall be documented via a signed Acceptance Certificate. Failure to issue a written objection within the acceptance period shall constitute deemed acceptance of the Biologist's placement under this Purchase Order.

This Purchase Order has been reviewed and authorized by the undersigned representatives of both parties. The Buyer's authorization is subject to internal budget approval reference BUD-2025-SP-0912. The Supplier confirms that all necessary licenses and permits for the provision of scientific personnel services in Russia Saint Petersburg are current and valid as of the date of this Purchase Order.
