This Purchase Order is issued by Meridian Life Sciences Pte. - Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Biologist. The Biologist must sign and return a copy of this Purchase Order within five (5) business days of receipt to confirm acceptance of all terms applicable to work performed in Singapore Singapore.
- Compliance: The Biologist shall comply with all applicable laws, regulations, and professional codes of conduct in Singapore Singapore, including but not limited to the Singapore Singapore Environmental Protection and Management Act, the Singapore Singapore Wildlife Act, and the Singapore Singapore Occupational Safety and Health Act.
- Intellectual Property: All data, reports, samples, and intellectual property generated by the Biologist during the course of this Purchase Order engagement in Singapore Singapore shall be the sole property of Meridian Life Sciences Pte. Ltd. The Biologist shall not publish, disclose, or distribute any findings without prior written consent.
- Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary information, research data, and business strategies of the purchasing entity. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Biologist. All payments shall be processed in Singapore Dollars (SGD) via bank transfer to the account specified by the Biologist. Late payments shall attract interest at the rate prescribed under the Singapore Singapore Late Payment of Interest to Small Businesses Act.
- Insurance: The Biologist shall maintain professional indemnity insurance with a minimum coverage of SGD 1,000,000 and public liability insurance of SGD 2,000,000 for the duration of services rendered in Singapore Singapore. Certificates of insurance shall be provided upon request.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Biologist shall be compensated for all services rendered and expenses incurred up to the date of termination in Singapore Singapore.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Singapore Singapore in accordance with the rules of the Singapore Singapore International Mediation Centre (SIMC). If mediation fails, disputes shall be referred to arbitration under the Singapore Singapore International Arbitration Centre (SIAC) rules.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. The courts of Singapore Singapore shall have exclusive jurisdiction over any matters not resolved through arbitration.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Singapore Singapore, or pandemics, provided that written notice is given within 48 hours of the event.
This Purchase Order is authorised and issued by the undersigned on behalf of Meridian Life Sciences Pte. Ltd. The Biologist acknowledges receipt and acceptance of all terms, conditions, and scope of work as outlined in this Purchase Order for services to be delivered in Singapore Singapore.
