This Purchase Order authorizes the engagement of the above-named Biologist to provide specialized scientific consulting and laboratory oversight services to Iberia BioResearch S.L. The engagement is to be carried out primarily at the company's research facility located in the Parque Científico de Madrid, with supplementary fieldwork conducted across the Comunidad de Madrid and, where necessary, in neighboring provinces of the Kingdom of Spain.
The Biologist shall perform the following duties under this Purchase Order:
- Design and supervision of microbial culture protocols for the company's bioremediation project, ensuring full compliance with the Spanish Royal Decree 1098/1998 on the management of biological waste and the European Directive 2000/54/EC as transposed into Spanish national law.
- Conduct of genomic sequencing and bioinformatic analysis of soil and water samples collected from designated sites within the Madrid metropolitan area and the Guadarrama mountain range.
- Preparation of technical reports, laboratory notebooks, and regulatory documentation in accordance with the standards set forth by the Agencia Española de Medicamentos y Productos Sanitarios (AEMPS) and the Instituto Nacional de Estadística (INE) for scientific data reporting.
- Mentorship and quality assurance oversight of a team of four junior laboratory technicians assigned to the project, ensuring adherence to Good Laboratory Practice (GLP) as defined under Spanish Royal Decree 158/2018.
- Participation in at least two (2) quarterly review meetings held at the company's Madrid headquarters to present progress findings and recommend adjustments to the research methodology.

Payment Terms: Payment shall be made in three (3) equal installments via direct bank transfer (SEPA) to the account designated by the Biologist. The first installment (33.33%) is due upon execution of this Purchase Order. The second installment (33.33%) is due upon completion of month three (3) of the engagement. The final installment (33.34%) is due upon delivery and acceptance of the final technical report. All payments are subject to the withholding tax (retención) of 15% applicable to professional services rendered in Spain under Article 95 of the Ley del Impuesto sobre la Renta de las Personas Físicas (IRPF).
- Applicable Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Spain (Código Civil), the Spanish Commercial Code (Código de Comercio), and all applicable regulations of the Comunidad de Madrid. Any disputes arising from this Purchase Order shall be submitted to the competent courts of Madrid, Spain, with express waiver of any other jurisdiction.
- Intellectual Property: All data, reports, sequences, and methodologies developed by the Biologist in the course of this engagement shall be the exclusive property of Iberia BioResearch S.L. The Biologist retains the right to publish general findings in peer-reviewed journals, subject to a thirty (30) day prior written notice to the company.
- Confidentiality: The Biologist agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unpublished data encountered during the engagement, in compliance with the Spanish Organic Law 3/2018 on Data Protection and Guarantee of Digital Rights (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
- Insurance: The Biologist shall maintain, at his own expense, professional liability insurance with a minimum coverage of €300,000, valid throughout the territory of Spain, for the duration of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Biologist shall be compensated for all services rendered up to the effective date of termination, less any applicable Spanish statutory deductions.
- Health and Safety: All laboratory and fieldwork activities shall comply with the Spanish Occupational Risk Prevention Law (Ley 31/1995 de Prevención de Riesgos Laborales) and the specific safety protocols of the Parque Científico de Madrid.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document constitutes a binding agreement for the provision of Biologist professional services within the jurisdiction of Spain, Madrid, effective from the date of the last signature.
