1. Purpose and Scope of This Purchase Order
This Purchase Order is issued by the National Institute of Biological Research, Sudan, to formally request the procurement of professional Biologist services, associated laboratory equipment, and consumable materials for deployment and operation within the Sudan Khartoum metropolitan area. This document governs all terms, conditions, deliverables, and financial obligations between the Purchasing Party and the Supplier in connection with the engagement of a qualified Biologist to conduct environmental and agricultural biological research programs in the Khartoum region of Sudan. All work referenced herein shall be performed in accordance with the regulatory standards set forth by the Sudanese Ministry of Higher Education and Scientific Research and the relevant municipal authorities of Khartoum.

3. Terms and Conditions
- Delivery and Deployment: All equipment and materials listed in this Purchase Order shall be delivered to the designated facilities in Sudan Khartoum within thirty (30) calendar days of the date of this Purchase Order. The Biologist and Biologist Assistant personnel shall commence their duties no later than forty-five (45) days from the issue date of this Purchase Order.
- Payment Terms: Payment shall be made in three installments: 40% upon signing and confirmation of this Purchase Order, 40% upon successful delivery and installation of all equipment in Khartoum, and 20% upon completion of the 12-month Biologist engagement period. All payments shall be processed in Sudanese Pounds (SDG) via bank transfer to the Supplier's account at Bank of Khartoum.
- Biologist Qualifications: The Biologist engaged under this Purchase Order must hold a minimum of a Master's degree in Biology, Ecology, or a related life science discipline, with at least five (5) years of post-graduate research experience. The Biologist must be registered with the Sudanese Professional Biologists Association and hold a valid work permit issued by the Ministry of Labor and Social Development, Republic of the Sudan.
- Compliance with Sudan Khartoum Regulations: All activities conducted by the Biologist under this Purchase Order shall strictly adhere to the environmental protection laws of the Republic of the Sudan, the Khartoum State Municipal Bylaws, and the biosafety regulations enforced by the National Center for Disease Control in Khartoum. The Biologist shall submit monthly compliance reports to the Purchasing Party.
- Warranty and Support: All laboratory equipment procured under this Purchase Order carries a minimum two-year manufacturer's warranty. The Supplier shall provide on-site technical support in Khartoum within forty-eight (48) hours of any reported malfunction.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of early termination, the Biologist's remaining contractual obligations shall be settled pro-rata, and all equipment shall be returned to the Supplier at the Supplier's expense unless otherwise agreed in writing.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Khartoum, Sudan, in accordance with the Sudanese Arbitration Act.
- Confidentiality: All research data, biological samples, and proprietary information generated by the Biologist during the term of this Purchase Order shall remain the exclusive property of the Purchasing Party. The Biologist and all associated personnel shall sign a Non-Disclosure Agreement prior to commencing work in Sudan Khartoum.
4. Acceptance and Authorization
By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Biologist services and associated materials in Sudan Khartoum. This Purchase Order constitutes a binding legal agreement effective from the date of the last signature.
