This Purchase Order is issued by Meridian Environmental Sciences Ltd. to engage the services of a qualified Biologist, Dr. James A. Hartley, to conduct a comprehensive ecological impact assessment and biodiversity survey in the United Kingdom Birmingham metropolitan area. The scope of work is detailed in the line items below.

The Biologist shall commence fieldwork on or before 1 July 2025 and shall complete all on-site survey activities within the United Kingdom Birmingham area no later than 15 July 2025. The final Ecological Impact Assessment Report shall be delivered to the Purchasing Party no later than 30 July 2025. All deliverables must be submitted in both digital (PDF and editable Word) and hard-copy (three bound copies) formats to the address of Meridian Environmental Sciences Ltd. in Birmingham, United Kingdom.

Payment against this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made by BACS transfer to the bank account nominated by the Biologist. Payment is due within fourteen (14) calendar days of the invoice date. Late payments shall accrue interest at the rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

  1. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of the United Kingdom, with venue in Birmingham.
  2. The Biologist warrants that all services rendered under this Purchase Order shall be performed with reasonable skill and care, in accordance with the professional standards set by the Institute of Biology and the Chartered Institute of Ecology and Environmental Management (CIEEM).
  3. The Biologist shall maintain adequate professional indemnity insurance of no less than £5,000,000 for the duration of the contract and shall provide a certificate of insurance upon request.
  4. All data, reports, and intellectual property produced under this Purchase Order shall become the sole property of Meridian Environmental Sciences Ltd. upon full payment. The Biologist shall not reproduce, distribute, or publish any portion of the deliverables without prior written consent.
  5. The Biologist shall comply with all applicable United Kingdom legislation, including but not limited to the Wildlife and Countryside Act 1981, the Conservation of Habitats and Species Regulations 2017, and the Environmental Protection Act 1990, throughout the performance of services in the United Kingdom Birmingham area.
  6. Either party may terminate this Purchase Order by providing fourteen (14) days' written notice. In the event of termination, the Biologist shall be compensated for all work completed and documented up to the date of termination.
  7. The Biologist shall adhere to all health and safety requirements on site, including but not limited to the Health and Safety at Work etc. Act 1974, and shall provide a Risk Assessment and Method Statement (RAMS) prior to commencing fieldwork in Birmingham, United Kingdom.
  8. This Purchase Order does not constitute a guarantee of any particular planning outcome. The Biologist's role is limited to the provision of scientific and ecological expertise as described herein.
  9. Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or modifications shall be null and void.
  10. The Biologist shall not subcontract any portion of the work described in this Purchase Order without the prior written approval of Meridian Environmental Sciences Ltd.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This Purchase Order becomes effective upon the signature of both the authorised representative of the Purchasing Party and the Biologist.
