This Purchase Order is issued by the Thames Valley Environmental Research Institute to engage the services of a qualified Biologist, Dr. Marcus A. Pemberton, for the provision of specialist biological research, field sampling, and laboratory analysis services to be conducted within the United Kingdom London metropolitan area and surrounding Thames estuary regions. The Biologist shall perform all duties in accordance with the scope of work outlined below and in full compliance with all applicable United Kingdom legislation, including the Wildlife and Countryside Act 1981, the Environmental Protection Act 1990, and the Health and Safety at Work etc. Act 1974.

All fieldwork and laboratory services under this Purchase Order shall be performed at the designated sites within United Kingdom London as specified by the Institute's project management team. The Biologist is required to report to the Institute's primary office at 42 Regent Street, London, W1B 5AH, United Kingdom, for project briefings and to deliver all physical documentation, sample reports, and data storage media. The final ecological impact assessment report must be submitted in both hard copy (three bound copies) and digital format (PDF and editable Word document) no later than 30 July 2025. All fieldwork must be completed in accordance with the seasonal constraints applicable to the United Kingdom London region, and the Biologist shall obtain any necessary local authority permits from the relevant London borough councils prior to commencing site visits.

  • 1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Biologist. The Biologist must return a signed copy of this Purchase Order to the Institute within five (5) working days of receipt.
  • 2. Payment: Payment shall be made by direct bank transfer to the account nominated by the Biologist within thirty (30) calendar days of receipt of a valid tax invoice. The Institute reserves the right to withhold payment for any services not completed to the standard specified in this Purchase Order.
  • 3. Quality and Compliance: The Biologist warrants that all services shall be performed to a professional standard consistent with the expectations of a chartered Biologist registered with the Royal Society of Biology. All work must comply with United Kingdom environmental legislation and the specific regulatory requirements of the London planning authority.
  • 4. Insurance: The Biologist shall maintain adequate professional indemnity insurance (minimum coverage of £5,000,000) and public liability insurance (minimum coverage of £10,000,000) for the duration of the contract. Certificates of insurance must be provided prior to commencement of work in United Kingdom London.
  • 5. Confidentiality: All data, samples, and findings generated under this Purchase Order are the exclusive property of the Thames Valley Environmental Research Institute. The Biologist shall not disclose, publish, or share any project information with third parties without prior written consent.
  • 6. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Biologist shall be compensated for all services satisfactorily completed up to the date of termination.
  • 7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved in accordance with the laws of England and Wales. The courts of London, United Kingdom, shall have exclusive jurisdiction.
  • 8. Health and Safety: The Biologist shall adhere to all health and safety protocols as set out by the Institute and in compliance with the Health and Safety at Work etc. Act 1974. A risk assessment must be submitted prior to any fieldwork in the United Kingdom London area.
