This Purchase Order is issued by the Tashkent Central Research Institute for Biological Sciences, JSC, for the engagement of a qualified Biologist to provide specialized scientific consulting, laboratory oversight, and field research coordination services within the Tashkent metropolitan area and surrounding regions of Uzbekistan. 3.1 Scope and Compliance. The Biologist engaged under this Purchase Order shall perform all duties in strict accordance with the Republic of Uzbekistan's Labor Code, the Law on Scientific Activity, and all applicable biosafety regulations enforced by the State Sanitary-Epidemiological Service of Tashkent. The Biologist must hold a valid PhD or equivalent doctoral degree in Biology, Molecular Biology, or a closely related discipline, and must possess a current professional registration with the Uzbekistan National Registry of Scientific Specialists.
3.2 Commencement and Duration. Services under this Purchase Order shall commence on 1 July 2025 and shall continue for a period of six (6) months, concluding on 31 December 2025, unless extended by mutual written agreement of both parties. All work shall be performed primarily at the Tashkent Central Research Institute premises located in Tashkent, Uzbekistan, with fieldwork conducted in designated locations within the Tashkent Region as specified in the project plan.
3.3 Payment Terms. Payment for services rendered under this Purchase Order shall be made in US Dollars via bank transfer to the account designated by the Biologist. Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be processed within fifteen (15) business days of invoice receipt. A 10% advance payment of USD 3,875.00 shall be disbursed upon execution of this Purchase Order. The remaining balance shall be paid in five equal monthly installments of USD 6,980.00.
3.4 Intellectual Property. All research data, reports, publications, and intellectual property generated by the Biologist in the course of performing services under this Purchase Order shall be the sole property of the Tashkent Central Research Institute for Biological Sciences, JSC. The Biologist shall not publish, distribute, or disclose any findings without prior written consent from the Buyer.
3.5 Confidentiality. The Biologist agrees to maintain strict confidentiality regarding all proprietary information, experimental data, and institutional records of the Buyer encountered during the performance of this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause (material breach, failure to meet performance standards, or violation of Uzbekistan Tashkent regulatory requirements), the terminating party may issue notice with immediate effect. Upon termination, the Biologist shall deliver all completed work products and return all institutional materials within seven (7) business days.
3.7 Governing Law and Dispute Resolution. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan. Any disputes arising from or in connection with this Purchase Order shall first be subject to mediation in Tashkent, Uzbekistan. If mediation fails within sixty (60) days, the dispute shall be referred to the Tashkent City Arbitration Court for final and binding resolution.
Regulatory Note: The Biologist must comply with all import/export restrictions on biological materials as stipulated by the Uzbekistan Customs Committee. All field samples collected in Tashkent Region must be logged in the national biological specimen registry within 48 hours of collection. The Biologist is responsible for obtaining any necessary local permits for fieldwork in protected areas of Tashkent, including the Chimgan Nature Reserve and the Tashkent Botanical Garden.
The Biologist shall observe all local working hours as prescribed by Uzbekistan labor law (Monday through Friday, 09:00 to 18:00, with a one-hour lunch break). Fieldwork in the Tashkent Region may require extended hours during peak biological sampling seasons (April–June and September–November), for which additional compensation at 1.5x the daily rate shall apply.
This Purchase Order constitutes a binding procurement document. By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Biologist in Tashkent, Uzbekistan.
