1. Description of Purchase

This Purchase Order is issued by St. Vincent's Medical Equipment Services Pty Ltd (hereinafter referred to as the "Purchaser") to Apex Biomedical Engineering Solutions Ltd (hereinafter referred to as the "Supplier") for the engagement of a qualified Biomedical Engineer and associated technical services. The scope of work under this Purchase Order encompasses the comprehensive calibration, preventive maintenance, fault diagnosis, and regulatory compliance auditing of all Class IIa and Class IIb medical devices housed within the Purchaser's facilities located in Australia Melbourne, specifically the main hospital campus at 425 Collins Street and the satellite diagnostic centre at 120 Queen Street, Melbourne VIC 3000.

The Biomedical Engineer engaged under this Purchase Order shall hold a minimum of a Bachelor of Engineering (Biomedical) degree from an Australian university, be registered with Engineers Australia, and possess a valid Australian Medical Device Regulator (TGA) compliance certification. The Biomedical Engineer shall also demonstrate a minimum of eight (8) years of hands-on experience in the calibration and maintenance of patient monitoring systems, anaesthetic machines, infusion pumps, defibrillators, and imaging equipment.

3. Terms and Conditions

3.1 This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. All disputes arising from this Purchase Order shall be resolved in accordance with the Australian Consumer Law (2010) and the Victorian Civil and Administrative Tribunal (VCAT) jurisdiction.

3.2 The Biomedical Engineer assigned to this Purchase Order must maintain a valid Working with Children Check (WWCC) and a current National Police Check, as required for all personnel operating within hospital facilities in Australia Melbourne.

3.3 The Supplier shall ensure that the Biomedical Engineer complies with all Australian Standards, including AS/NZS 3820 (Medical electrical equipment) and AS 4801 (Electrical safety of medical equipment), as well as all Therapeutic Goods Administration (TGA) regulations applicable in Australia.

3.4 Payment terms: Net 30 days from the date of invoice. Invoices shall be submitted monthly in arrears. Late payments shall attract interest at the rate prescribed under the Australian Consumer Law.

3.5 The Supplier warrants that all services rendered under this Purchase Order shall be performed with due care and skill, in a workmanlike manner, and in accordance with the Australian Biomedical Engineering Code of Practice.

3.6 The Purchaser reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Biomedical Engineer fails to meet the performance benchmarks outlined in the attached Service Level Agreement (SLA), which is incorporated into this Purchase Order by reference.

3.7 All intellectual property, calibration data, and patient device records generated during the course of this engagement shall remain the sole property of the Purchaser. The Biomedical Engineer and the Supplier shall sign a Non-Disclosure Agreement (NDA) prior to commencing work at any Australia Melbourne site.

3.8 The Supplier shall maintain a minimum of $10,000,000 in professional indemnity insurance and $20,000,000 in public liability insurance, with the Purchaser named as an additional insured party. Certificates of insurance shall be provided prior to the commencement date specified in this Purchase Order.

4. Delivery and Commencement

All services under this Purchase Order shall commence on 1 July 2025 at the Purchaser's primary facility in Australia Melbourne. The Biomedical Engineer shall report to the Purchaser's Biomedical Engineering Department Manager, Mr. James O'Connor, on the first day of engagement. All calibration reference standards and test equipment (Item 05) shall be delivered and installed no later than 28 June 2025.

5. Authorisation and Acceptance

This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. Acceptance of this Purchase Order by the Supplier constitutes full agreement to all terms, conditions, and specifications set forth herein.
