3. SCOPE OF ENGAGEMENT — BIOMEDICAL ENGINEER SERVICES

This Purchase Order is issued by Hôpital Universitaire de Bruxelles for the engagement of a qualified Biomedical Engineer to provide comprehensive technical support, equipment maintenance, and clinical engineering services within the hospital facilities located in Belgium Brussels. The Biomedical Engineer shall be responsible for the installation, calibration, preventive maintenance, troubleshooting, and regulatory compliance of all medical devices and biomedical equipment deployed across the hospital's departments, including but not limited to radiology, intensive care, surgery, and laboratory diagnostics. The Biomedical Engineer must hold a recognized degree in Biomedical Engineering or a related field, possess valid professional registration with the Belgian Order of Engineers and Architects (Ordre des Ingénieurs-Conseils), and demonstrate a minimum of five (5) years of hands-on experience in hospital biomedical engineering operations within Belgium or the European Union.

5. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Belgium. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Brussels, Belgium.
  2. Performance Period: The Biomedical Engineer services shall commence on 1 July 2025 and conclude on 30 June 2026, unless extended by mutual written agreement between both parties.
  3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice bearing the Purchase Order number PO-BME-BRU-2025-0047. Late payments shall accrue interest at the rate prescribed by Belgian law (Article 5:111 of the Belgian Code of Economic Law).
  4. Quality and Compliance: The Biomedical Engineer shall ensure that all work performed complies with Belgian national regulations, European Union Medical Device Regulation (EU) 2017/745, and the internal quality management system of Hôpital Universitaire de Bruxelles. All calibration certificates and maintenance records shall be maintained in both French and Dutch to satisfy the bilingual requirements of the Brussels-Capital Region.
  5. Confidentiality: The Biomedical Engineer and all personnel assigned under this Purchase Order shall maintain strict confidentiality regarding patient data, hospital operational procedures, and proprietary technical information in accordance with the Belgian Data Protection Act (Law of 30 July 2018) and the GDPR.
  6. Insurance: The supplier shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 per occurrence, valid throughout the territory of Belgium Brussels and the broader Brussels-Capital Region.
  7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect obligations accrued prior to the effective date of termination.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Belgium Brussels.
  9. Subcontracting: The supplier shall not subcontract any portion of the Biomedical Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
  10. Dispute Resolution: In the event of a dispute, both parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be referred to mediation under the rules of the Belgian Mediation Institute. Failing mediation, the matter shall be submitted to the courts of Brussels.
