This Purchase Order is issued by the Shanghai Pudong New Area Medical Equipment Administration to formally procure the professional services of a qualified Biomedical Engineer for a period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026. The Biomedical Engineer shall be physically stationed and perform all contractual duties within the administrative boundaries of China Shanghai, specifically at the designated facilities listed in Appendix A of this Purchase Order.
The scope of services rendered by the Biomedical Engineer under this Purchase Order shall include, but not be limited to, the following:
- Design, installation, calibration, and ongoing maintenance of advanced diagnostic imaging equipment (MRI, CT, PET scanners) at three (3) municipal hospitals located in China Shanghai.
- Development and implementation of biomedical signal processing algorithms for patient monitoring systems deployed across the China Shanghai healthcare network.
- Regulatory compliance auditing of all Class II and Class III medical devices in accordance with the National Medical Products Administration (NMPA) of the People's Republic of China.
- Supervision of the integration of artificial intelligence modules into existing biomedical instrumentation at the Shanghai Institute of Biomedical Engineering.
- Preparation of technical documentation, risk assessments, and post-market surveillance reports as mandated by China Shanghai municipal health regulations.
- Mentorship and training of junior biomedical engineering staff at the China Shanghai University of Medical Sciences, no fewer than forty (40) hours per quarter.

All payments shall be processed in Chinese Yuan (CNY) via bank transfer to the account designated by the Biomedical Engineer or the Shanghai Biomedical Engineering Consortium. Invoices must be submitted by the fifth (5th) business day of each month. Payment shall be disbursed within fifteen (15) business days of invoice receipt, in accordance with the China Shanghai Municipal Government Procurement Payment Regulations (2024 Revision).
4. Terms and Conditions- This Purchase Order is governed by the Civil Code of the People's Republic of China and the applicable procurement regulations of China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
- The Biomedical Engineer shall maintain all professional licenses, certifications, and malpractice insurance in full good standing throughout the duration of this Purchase Order. Failure to do so shall constitute material breach.
- All work performed under this Purchase Order shall be conducted exclusively within the geographic and administrative jurisdiction of China Shanghai. Any off-site work requiring travel outside China Shanghai must be pre-approved in writing by the Purchaser.
- The Biomedical Engineer shall comply with all data protection requirements under the Personal Information Protection Law (PIPL) of the People's Republic of China when handling patient data or biomedical research records.
- Intellectual property developed specifically for the Purchaser under this Purchase Order shall be the sole property of the Shanghai Pudong New Area Medical Equipment Administration. The Biomedical Engineer retains rights to pre-existing intellectual property.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the Purchaser shall compensate the Biomedical Engineer for all services rendered up to the effective date of termination.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the Biomedical Engineer services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in China Shanghai.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. The Purchaser authorizes the engagement of the named Biomedical Engineer for the services described herein, and the Biomedical Engineer accepts the terms of this Purchase Order and commits to performing all duties within the China Shanghai operational framework as specified.
