This Purchase Order is issued by Rhein-Medical Technologies GmbH to formally engage the services of a qualified Biomedical Engineer to be deployed at our primary research and development facility located in Germany Frankfurt. The Biomedical Engineer shall be responsible for the design, calibration, maintenance, and regulatory compliance of all medical imaging equipment, patient monitoring systems, and laboratory instrumentation housed within our Frankfurt premises. The engagement is governed by the German Medical Devices Act (Medizinproduktegesetz – MPG) and all applicable European Union directives, including the Medical Device Regulation (EU) 2017/745, as enforced within the jurisdiction of Germany Frankfurt.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Frankfurt.
- Delivery / Commencement: The Biomedical Engineer shall commence on-site duties at the Germany Frankfurt facility no later than 01 July 2025. The supplier shall ensure that the Biomedical Engineer holds a valid German professional licence (Approbation) and meets all requirements set forth by the relevant state authority (Landesbehörde) in Hesse.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment is due within 30 calendar days of invoice receipt via SEPA bank transfer to the account specified by BioEng Solutions International AG. Late payments shall accrue interest at the statutory rate under § 288 BGB.
- Confidentiality & Data Protection: The Biomedical Engineer shall be bound by a non-disclosure agreement (NDA) and shall comply fully with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG) in the handling of all patient data and proprietary engineering documentation within Germany Frankfurt.
- Performance Standards: The Biomedical Engineer shall maintain a minimum equipment uptime of 97% across all critical medical devices. Failure to meet this threshold for two consecutive months shall entitle Rhein-Medical Technologies GmbH to issue a formal cure notice under this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 90 days' written notice. In the event of material breach, termination may be effected with 14 days' notice. All outstanding obligations, including final settlement of the Biomedical Engineer's services, shall be fulfilled within 30 days of termination.
- Insurance: The supplier shall maintain professional indemnity insurance of no less than EUR 2,000,000 per claim and public liability insurance of EUR 5,000,000, valid throughout the term of this Purchase Order in Germany Frankfurt.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Germany Frankfurt.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Biomedical Engineer at the Germany Frankfurt facility. This document constitutes a binding commercial agreement effective from the date of the last signature.
