1. Scope of Purchase Order

This Purchase Order is issued by Helmholtz Medical Systems GmbH (hereinafter referred to as the "Buyer") to engage the services of Dr. Katharina Vogel, a certified Biomedical Engineer (hereinafter referred to as the "Service Provider"), for the design, validation, and regulatory compliance of next-generation diagnostic imaging equipment. All professional services under this Purchase Order shall be performed primarily at the Buyer's research and development facility located in Germany Munich, specifically at the address listed above, with the possibility of remote consultation as mutually agreed upon in writing.

2. Description of Services

3. Terms and Conditions
  1. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich.
  2. Payment Terms: Payment shall be made in three equal installments: 40% upon acceptance of this Purchase Order, 40% upon completion of Service Items 01 through 03, and 20% upon final delivery of all documentation and successful regulatory submission. All payments shall be transferred via SEPA bank transfer to the Service Provider's account registered in Germany Munich. Payment is due within 30 days of invoice receipt.
  3. Intellectual Property: All work product, designs, code, documentation, and deliverables created by the Biomedical Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Service Provider grants an irrevocable, perpetual, royalty-free license to the Buyer for all pre-existing tools and methodologies incorporated into the deliverables.
  4. Confidentiality: The Service Provider agrees to maintain strict confidentiality regarding all proprietary information, patient data, and trade secrets encountered during the performance of services in Germany Munich. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  5. Compliance and Certification: The Biomedical Engineer warrants that all services rendered shall comply with applicable German and European medical device regulations, including but not limited to the EU MDR 2017/745, DIN EN standards, and the requirements of the BfArM. The Service Provider shall maintain all necessary professional certifications and registrations valid in Germany Munich throughout the engagement period.
  6. Work Location and Travel: The primary work location for all on-site activities under this Purchase Order is the Buyer's facility in Germany Munich. Should the Service Provider need to travel from a location outside the Munich metropolitan area, reasonable travel and accommodation expenses pre-approved in writing by the Buyer shall be reimbursed at cost.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Service Provider shall deliver all work-in-progress materials to the Buyer within fourteen (14) days of termination.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or supply chain disruptions affecting operations in Germany Munich.
  9. Warranty: The Biomedical Engineer warrants that all deliverables shall be free from material defects in design, calculation, and documentation for a period of twelve (12) months from the date of final acceptance. Any defects identified within this warranty period shall be corrected at no additional cost to the Buyer.
  10. Insurance: The Service Provider shall maintain professional liability insurance with a minimum coverage of €2,000,000 per occurrence, valid throughout the territory of Germany, for the duration of this Purchase Order and for two (2) years thereafter.
4. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Biomedical Engineer for medical device engineering services in Germany Munich. This document constitutes a binding agreement upon execution by both authorized representatives.
