This Purchase Order authorizes the engagement of the aforementioned Biomedical Engineer to perform the professional services outlined above. The Biomedical Engineer shall report directly to the Chief Technology Officer of MedTech Solutions India Pvt. Ltd. and shall operate primarily from the Bangalore, India headquarters located at Koramangala. All deliverables, including design documentation, test reports, calibration certificates, and training materials, shall be submitted in both digital (PDF) and hard-copy formats. The Biomedical Engineer is expected to maintain full compliance with the Indian Medical Device and Systems (IMDS) regulations, the Drugs and Cosmetics Act, 1940, and all applicable Karnataka state labor and professional conduct guidelines.
5. Payment Terms- Payment shall be made on a monthly basis via NEFT/RTGS to the bank account designated by the Biomedical Engineer, within 15 working days of receipt of a valid tax invoice.
- A 10% advance payment of ₹3,16,240 (inclusive of GST) shall be disbursed within 7 working days of the execution of this Purchase Order.
- Quarterly calibration audit payments shall be due within 10 working days of submission of the audit report.
- All payments are subject to TDS deduction at 10% as per Section 194J of the Income Tax Act, 1961 (India), applicable to professional fees.
- Any dispute regarding payment shall be resolved through mutual negotiation within 30 days, failing which the matter shall be referred to arbitration in Bangalore, Karnataka, India.
- This Purchase Order is governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in Bangalore, Karnataka, India.
- The Biomedical Engineer shall maintain professional indemnity insurance with a minimum coverage of ₹50,00,000 (Fifty Lakh Rupees) for the entire contract duration.
- Confidentiality: The Biomedical Engineer shall treat all proprietary data, patient information, and trade secrets of MedTech Solutions India Pvt. Ltd. as strictly confidential, in accordance with the Information Technology Act, 2000, and applicable data protection norms in India.
- The Biomedical Engineer shall not subcontract any portion of the services without prior written consent from the Purchasing Entity.
- Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, payment shall be made pro-rata for services rendered up to the termination date.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government mandates, pandemics, or other events beyond reasonable control, as recognized under Indian contract law.
- The Biomedical Engineer shall comply with all applicable labor laws, professional ethics codes, and safety regulations in force in Bangalore, India during the engagement period.
