1. Description of Services – Biomedical Engineer Engagement

MediTech Solutions Pvt. Ltd., a leading healthcare technology firm headquartered in India New Delhi, hereby issues this Purchase Order to engage the services of a qualified Biomedical Engineer for the duration of twelve (12) months, commencing on 1 July 2025. The Biomedical Engineer shall be responsible for the design, development, testing, calibration, and maintenance of medical devices and diagnostic equipment deployed across our partner hospitals and research facilities located in and around India New Delhi. This Purchase Order constitutes a binding agreement between the parties and governs all aspects of the professional engagement of the Biomedical Engineer for the specified period.

3. Total Purchase Order Value

The total estimated value of this Purchase Order, inclusive of all services rendered by the Biomedical Engineer over the twelve-month engagement period, is ₹ 18,70,000 (Indian Rupees Eighteen Lakh Seventy Thousand Only), exclusive of applicable Goods and Services Tax (GST) at the prevailing rate of 18%. The final invoice shall be adjusted based on actual services consumed and emergency call-outs. All payments shall be processed in Indian Rupees through NEFT/RTGS to the bank account designated by the Biomedical Engineer.

4. Terms and Conditions

4.1 This Purchase Order is issued in accordance with the commercial laws of the Republic of India and shall be governed by and construed in accordance with the Indian Contract Act, 1872, and applicable regulations in India New Delhi.

4.2 The Biomedical Engineer shall maintain all necessary professional certifications, including but not limited to membership with the Indian Institute of Engineers (IIE) and valid registration with the relevant biomedical engineering regulatory body operating in India New Delhi.

4.3 The Biomedical Engineer shall adhere to all data protection and patient privacy standards as mandated by the Digital Personal Data Protection Act, 2023, and shall execute a Non-Disclosure Agreement (NDA) prior to commencing work.

4.4 MediTech Solutions Pvt. Ltd. reserves the right to inspect the work performed by the Biomedical Engineer at any reasonable time during the engagement period. All deliverables must meet the quality benchmarks specified in the attached Statement of Work (SOW).

4.5 Payment shall be made within thirty (30) days of receipt of a valid tax invoice. Late payments shall attract interest at the rate of 12% per annum as per the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006, if applicable.

4.6 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Biomedical Engineer shall be compensated for all services rendered up to the date of termination.

4.7 All disputes arising from this Purchase Order shall be resolved through arbitration in India New Delhi in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India.

4.8 The Biomedical Engineer shall carry adequate professional indemnity insurance with a minimum coverage of ₹ 50,00,000 for the duration of this Purchase Order engagement.

5. Delivery and Commencement

The Biomedical Engineer shall report to the MediTech Solutions Pvt. Ltd. facility at Connaught Place, New Delhi, India, on or before 1 July 2025 at 09:00 IST. All project deliverables, reports, and documentation shall be submitted electronically to the procurement department of MediTech Solutions Pvt. Ltd., India New Delhi, within the timelines specified in the Statement of Work. The Biomedical Engineer is expected to maintain a minimum of five (5) working days per week at the India New Delhi site, with remote work permissible only with prior written approval from the Project Director.

6. Acceptance and Authorization

By signing below, both parties acknowledge and accept the terms, conditions, and scope of work outlined in this Purchase Order. This document, once executed, shall serve as the definitive record of the commercial arrangement between MediTech Solutions Pvt. Ltd. and the designated Biomedical Engineer for the specified engagement period in India New Delhi.
