This Purchase Order is issued by Tel Aviv Medical Innovation Center to formally engage a qualified Biomedical Engineer to provide specialized technical services within the Israel Tel Aviv metropolitan area. The Biomedical Engineer shall be responsible for the design, installation, calibration, maintenance, and regulatory compliance oversight of all medical devices, diagnostic imaging systems, and clinical laboratory equipment deployed across the facility's three operational wings in Israel Tel Aviv.
The Biomedical Engineer engaged under this Purchase Order must hold a recognized degree in Biomedical Engineering or a closely related discipline, possess a valid professional license issued by the Israel Engineers Association, and demonstrate a minimum of seven (7) years of hands-on experience in hospital-grade medical device management. The Biomedical Engineer shall operate in full compliance with the Israeli Ministry of Health regulations, the Israel Standards Institute (SII) guidelines, and all applicable European Medical Device Regulation (MDR) standards as adopted within Israel Tel Aviv's healthcare infrastructure.

4.1 Payment Terms: Payment for all services rendered under this Purchase Order shall be made within thirty (30) calendar days of receipt of a valid invoice from the Seller. Invoices must reference this Purchase Order number (PO-IL-TLV-2025-04782) and include the Seller's VAT registration number. Payment shall be processed via bank transfer to the account designated by MediTech Professional Services Ltd.
4.2 Delivery and Commencement: The Biomedical Engineer shall commence all duties no later than 1 July 2025 at the TAMIC facility located in Israel Tel Aviv. Any delay in commencement beyond five (5) business days without written justification may result in a penalty of 1.5% of the monthly contract value per day of delay.
4.3 Performance Standards: The Biomedical Engineer is expected to maintain a medical device uptime rate of no less than 98.5% across all systems managed under this Purchase Order. Quarterly performance reviews shall be conducted by the Buyer's Director of Clinical Engineering, and results shall be documented in writing.
4.4 Regulatory Compliance: The Biomedical Engineer shall ensure that all work performed complies with the Israeli Medical Devices Law, 5759-1999, and all amendments thereto. The Biomedical Engineer shall maintain current registration with the Israel Engineers Association and shall provide proof of professional indemnity insurance with a minimum coverage of ILS 2,000,000.
4.5 Confidentiality and Data Protection: The Biomedical Engineer shall adhere to the Israeli Privacy Protection Law, 5741-1981, and all internal data handling protocols of TAMIC. All patient data, device logs, and proprietary engineering documentation accessed during the term of this Purchase Order shall remain the exclusive property of the Buyer.
4.6 Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Biomedical Engineer, the Buyer may terminate immediately upon written notice. Upon termination, the Biomedical Engineer shall return all facility keys, access credentials, and proprietary documents within five (5) business days.
4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
4.8 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or acts of war affecting the Israel Tel Aviv region.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. This document constitutes a binding agreement for the engagement of the Biomedical Engineer as described herein, effective from the date of the last signature.
