This Purchase Order is issued by Seoul Advanced Medical Technologies Co., Ltd. to formally procure the professional services of a qualified Biomedical Engineer to support the ongoing development, calibration, and maintenance of advanced diagnostic imaging systems and surgical robotics platforms deployed across our facilities in South Korea Seoul. The Biomedical Engineer shall be responsible for ensuring full compliance with the Korean Ministry of Food and Drug Safety (MFDS) regulations, the Korea Institute of Medical Device Industry (KIMD) standards, and all applicable ISO 13485 quality management requirements governing medical device engineering in the Republic of Korea.
The scope of work encompasses the design review of next-generation electrophysiology monitoring equipment, the implementation of predictive maintenance algorithms for MRI and CT scanner arrays located at our primary campus in Gangnam-gu, Seoul, and the supervision of a team of four junior technicians in the South Korea Seoul metropolitan area. The Biomedical Engineer must hold a minimum of a Master's degree in Biomedical Engineering from an accredited institution recognized by the Korean government and possess a valid professional license issued by the Korean Society of Biomedical Engineering (KSBE).

The Biomedical Engineer shall commence active service on or before July 1, 2025, at the designated South Korea Seoul facility located at 42 Teheran-ro, Gangnam-gu. All deliverables, including quarterly engineering reports, device calibration logs, and regulatory compliance documentation, shall be submitted to the Procurement Department of Seoul Advanced Medical Technologies Co., Ltd. no later than the fifth business day following the end of each calendar quarter. The contract term for this Purchase Order extends through June 30, 2026, subject to mutual renewal negotiation no fewer than sixty (60) days prior to expiration.
Payment for this Purchase Order shall be made in four (4) equal quarterly installments of KRW 8,109,750 (inclusive of VAT), due within thirty (30) days of the invoice date. All payments shall be remitted via bank transfer to the vendor's designated account at Woori Bank, Seoul Central Branch, Account No. 1002-3456-789012. Late payments shall accrue interest at a rate of 1.5% per month in accordance with the Korean Commercial Act. The vendor is required to issue a valid Korean Value-Added Tax (VAT) invoice for each payment cycle.
- This Purchase Order is governed by the laws of the Republic of Korea. Any disputes arising from the interpretation or performance of this Purchase Order shall be resolved through arbitration in Seoul, South Korea, in accordance with the rules of the Korean Commercial Arbitration Board (KCAB).
- The Biomedical Engineer engaged under this Purchase Order shall maintain all professional liability insurance coverage with a minimum limit of KRW 500,000,000 per occurrence, naming Seoul Advanced Medical Technologies Co., Ltd. as an additional insured party.
- All intellectual property, engineering designs, calibration data, and proprietary methodologies developed by the Biomedical Engineer in the course of performing services under this Purchase Order for the South Korea Seoul operations shall be the exclusive property of the issuing entity.
- The vendor shall ensure that the Biomedical Engineer complies with all data protection obligations under the Personal Information Protection Act (PIPA) of South Korea, particularly when handling patient-related diagnostic data during device testing and calibration procedures.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice, and the breaching party shall be liable for all resulting damages.
- The Biomedical Engineer shall be subject to periodic performance evaluations conducted by the South Korea Seoul Operations Director. Failure to meet the agreed-upon key performance indicators (KPIs) for two consecutive quarters shall constitute grounds for contract modification or termination.
- All work performed under this Purchase Order must adhere to the safety standards established by the Korea Occupational Safety and Health Agency (KOSHA) and the specific medical device engineering guidelines published by the MFDS.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Biomedical Engineer services in South Korea Seoul. This document, together with any attached exhibits or addenda, forms the complete and exclusive understanding between the parties with respect to the subject matter herein.
