3. Scope of Purchase Order – Biomedical Engineer Services

This Purchase Order is issued by Bangkok Metropolitan Medical Center to formally procure the professional services of a qualified Biomedical Engineer to be deployed at our facility located in Thailand Bangkok. The engagement of this Biomedical Engineer is critical to ensuring the continuous operation, calibration, maintenance, and regulatory compliance of all medical devices and clinical engineering systems within our hospital premises. The Biomedical Engineer shall report directly to the Chief Medical Officer and the Head of the Biomedical Engineering Department.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between Bangkok Metropolitan Medical Center and MedTech Solutions Asia Co., Ltd. for the provision of Biomedical Engineer services in Thailand Bangkok. All terms herein shall be governed by the laws of the Kingdom of Thailand.
The Biomedical Engineer assigned under this Purchase Order must hold a valid professional license issued by the Engineering Council of Thailand and possess a minimum of five (5) years of experience in clinical biomedical engineering within a hospital setting in Thailand Bangkok or equivalent international facility.
The Biomedical Engineer shall commence duties no later than 1 July 2025 at the Thailand Bangkok facility. Failure to deploy the qualified Biomedical Engineer within the stipulated period shall result in a penalty of 2,000 THB per day of delay.
All services rendered by the Biomedical Engineer shall comply with the Thai FDA regulations, the Ministry of Public Health standards, and the Joint Commission International (JCI) accreditation requirements applicable to Thailand Bangkok medical institutions.
Payment shall be made via bank transfer to the supplier's designated account in Thailand Bangkok within thirty (30) calendar days from the date of invoice receipt, subject to satisfactory completion of the Biomedical Engineer's deliverables as outlined in this Purchase Order.
The supplier warrants that the Biomedical Engineer shall maintain full professional indemnity insurance with a minimum coverage of 5,000,000 THB throughout the duration of this Purchase Order engagement.
Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Biomedical Engineer's scope of work in Thailand Bangkok shall not be binding.
The Biomedical Engineer shall be bound by strict confidentiality obligations regarding all patient data, proprietary hospital systems, and internal operational procedures encountered during the course of service delivery in Thailand Bangkok.
This Purchase Order is valid for a period of twelve (12) months from the date of issue. Upon expiration, either party may initiate renewal negotiations for continued Biomedical Engineer engagement in Thailand Bangkok.
Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Thai Arbitration Institute, with the seat of arbitration in Thailand Bangkok.

NOTE: This Purchase Order specifically addresses the procurement of a Biomedical Engineer professional service. The Biomedical Engineer is expected to manage the full lifecycle of medical technology assets, including but not limited to MRI systems, CT scanners, patient monitors, ventilators, infusion pumps, and laboratory analyzers. All work shall be performed at the Thailand Bangkok campus unless otherwise authorized in writing by the Purchaser. 6. Acceptance and Authorization
