Service Location Anadolu Medical Technologies A.S. Headquarters, Maslak, Sarıyer, Istanbul, Turkey. All Biomedical Engineer personnel shall report to the designated work site in Turkey Istanbul unless otherwise directed in writing by the Buyer.
Working Hours Monday to Friday, 09:00 – 18:00 (local time, Istanbul). Emergency on-call availability as specified in the individual service agreements.
Reporting The Biomedical Engineer shall submit monthly progress reports to the Buyer's Procurement Director by the 5th business day of each month. Quarterly performance reviews shall be conducted jointly in Istanbul.
TERMS AND CONDITIONS OF THIS PURCHASE ORDER
  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller for the provision of Biomedical Engineer professional services as described herein. All terms are governed by the Turkish Code of Obligations (Türk Borçlar Kanunu) and applicable regulations of the Republic of Turkey.
  2. The Seller warrants that every Biomedical Engineer assigned under this Purchase Order shall possess a valid degree in Biomedical Engineering from an accredited Turkish or internationally recognized university, a current TMMOB professional license, and all necessary permits to practice in Turkey Istanbul.
  3. Payment shall be made in Turkish Lira (TRY) via bank transfer to the Seller's designated account in Istanbul within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate determined by the Central Bank of the Republic of Turkey.
  4. The Seller shall maintain comprehensive professional liability insurance (minimum coverage of TRY 5,000,000) and occupational accident insurance for all Biomedical Engineer staff working under this Purchase Order throughout the contract period in Turkey Istanbul.
  5. Any modification, amendment, or extension of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements regarding the scope of Biomedical Engineer services shall not be enforceable.
  6. The Seller shall comply with all data protection obligations under the Turkish Personal Data Protection Law (KVKK — Law No. 6698) when handling patient data or medical device records during the course of Biomedical Engineer activities in Turkey Istanbul.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of a material breach by the other party that remains uncured after a fifteen (15) day remediation period.
  8. All disputes arising from or in connection with this Purchase Order shall be resolved by the competent courts and arbitration centers in Istanbul, Turkey. The parties irrevocably submit to the exclusive jurisdiction of the Istanbul courts.
  9. The Seller shall not subcontract any portion of the Biomedical Engineer services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
  10. This Purchase Order is valid for acceptance until 14 September 2025. Failure to accept by this date shall render this Purchase Order null and void without further notice.
IMPORTANT NOTE: The Buyer reserves the right to request a replacement Biomedical Engineer at any time if the assigned professional fails to meet the performance standards outlined in the individual service annexes. The Seller shall provide a qualified replacement Biomedical Engineer within ten (10) business days of such a request. All replacement personnel must meet the same qualification criteria specified in this Purchase Order for work in Turkey Istanbul. AUTHORIZATION AND ACCEPTANCE
