1. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by the Kampala Regional Health Authority to formally engage the services of a qualified Biomedical Engineer and associated technical support personnel. The engagement is specifically tailored to meet the operational and maintenance requirements of medical diagnostic and therapeutic equipment across all public health facilities within the Kampala metropolitan region of Uganda Kampala. The Biomedical Engineer shall be responsible for the installation, calibration, preventive maintenance, troubleshooting, and repair of all biomedical devices, including but not limited to MRI scanners, CT imaging systems, ultrasound machines, patient monitors, ventilators, defibrillators, laboratory analyzers, and surgical equipment. This Purchase Order governs the full scope of professional services, technical consultancy, and on-site support to be delivered within the jurisdiction of Uganda Kampala.

3. TERMS AND CONDITIONS

3.1 Payment Terms: Payment shall be made in quarterly installments within 30 days of receipt of an approved invoice. The first installment of 25% shall be due upon successful onboarding of the Biomedical Engineer at the designated facility in Uganda Kampala. All payments shall be processed in Ugandan Shillings (UGX) via bank transfer to the account specified by the supplier.

3.2 Delivery and Commencement: The Biomedical Engineer shall report for duty no later than 14 calendar days from the date of acceptance of this Purchase Order. All services shall be rendered within the administrative boundaries of Uganda Kampala, including the central, northern, eastern, and western divisions of the Kampala Capital City Authority.

3.3 Quality and Compliance: All work performed by the Biomedical Engineer shall comply with the standards set by the Uganda National Drug Authority (UNDA), the Uganda Medical Equipment Standards Board, and international ISO 13485 medical device quality management requirements. The engineer must hold a valid professional registration with the Uganda Engineering and Technical Examinations Board (UETEB).

3.4 Performance Standards: The Biomedical Engineer shall respond to all emergency breakdown calls within 4 hours during working hours and within 8 hours during non-working hours. Preventive maintenance schedules shall be adhered to with a minimum 95% completion rate per quarter. Failure to meet these standards in Uganda Kampala facilities shall result in a 5% deduction from the quarterly payment.

3.5 Confidentiality and Data Protection: The Biomedical Engineer shall maintain strict confidentiality regarding all patient data, hospital operational records, and proprietary equipment information encountered during the course of this engagement in Uganda Kampala. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

3.6 Termination: Either party may terminate this Purchase Order with a written notice of 60 days. In the event of material breach by the Biomedical Engineer, the Purchasing Party reserves the right to terminate immediately upon written notice. All outstanding obligations in Uganda Kampala shall be settled within 30 days of termination.

3.7 Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to arbitration under the Uganda Arbitration Act, with the seat of arbitration in Kampala, Uganda.

NOTE: This Purchase Order is subject to the approval of the Kampala Regional Health Authority Board of Directors and the Ministry of Health, Republic of Uganda. The Biomedical Engineer engaged under this order must present a valid professional indemnity insurance certificate (minimum coverage of UGX 50,000,000) prior to commencing any work in Uganda Kampala. 4. AUTHORIZATION AND ACCEPTANCE

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. The Biomedical Engineer confirms readiness to deliver all specified services within the Uganda Kampala region in accordance with the timelines and quality standards outlined herein.
