1. Description of Purchase Order Scope

This Purchase Order is issued by Manchester Royal Medical Centre to formally procure the professional services of a qualified Biomedical Engineer to be deployed at our facilities located in United Kingdom Manchester. The engagement is intended to support the hospital's ongoing clinical engineering programme, ensuring that all medical devices, diagnostic equipment, and therapeutic systems operating within the Manchester premises meet the highest standards of safety, performance, and regulatory compliance as mandated by the UK Health and Safety Executive (HSE) and the Care Quality Commission (CQC).

The Biomedical Engineer engaged under this Purchase Order shall be a Chartered Engineer (CEng) registered with the Institution of Engineering and Technology (IET) and a member of the Institute of Medical and Biological Engineers (IMBiE). The engineer must hold a valid UK professional indemnity insurance certificate with a minimum cover of £5,000,000 and must be familiar with the UK Medical Device Regulations 2002 (as amended) and the UKCA marking requirements applicable to all equipment within the United Kingdom Manchester healthcare sector.

3. Terms and Conditions of This Purchase Order
  1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order relating to the Biomedical Engineer engagement in United Kingdom Manchester shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
  2. Payment Terms: Payment shall be made within 30 calendar days of receipt of a valid tax invoice from Apex Biomedical Solutions Ltd. Invoices must reference this Purchase Order number (PO-BME-MAN-2025-0472) and be submitted to the Manchester accounts payable department. Late payment shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  3. Service Delivery Location: All services under this Purchase Order shall be performed at the premises of Manchester Royal Medical Centre, 120 Deansgate, Manchester, M3 4ER, United Kingdom, or at such other locations within the Greater Manchester area as may be mutually agreed in writing. The Biomedical Engineer shall be required to be physically present at the Manchester site for a minimum of 40 hours per week during the contract period.
  4. Professional Standards: The Biomedical Engineer shall adhere to the IET Code of Conduct, the IMBiE Professional Standards, and all applicable UK healthcare regulations. The engineer must maintain a current DBS (Disclosure and Barring Service) Enhanced Certificate, as required for all personnel working within NHS and private healthcare facilities in United Kingdom Manchester.
  5. Confidentiality and Data Protection: The Biomedical Engineer and Apex Biomedical Solutions Ltd shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient data, clinical records, and proprietary hospital information accessed during the performance of this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent from Manchester Royal Medical Centre.
  6. Insurance and Indemnity: The supplier shall maintain professional indemnity insurance of no less than £5,000,000 and public liability insurance of no less than £10,000,000 for the full duration of this Purchase Order. Certificates of insurance shall be provided to the Manchester purchasing authority prior to the commencement of services.
  7. Termination: Either party may terminate this Purchase Order by providing 90 days' written notice. In the event of material breach, the non-breaching party may terminate with 14 days' notice. Upon termination, the Biomedical Engineer shall hand over all work-in-progress documentation, calibration records, and equipment to Manchester Royal Medical Centre within 10 working days.
  8. Warranty and Remedies: All services rendered under this Purchase Order are warranted to be performed in a professional and workmanlike manner by a competent Biomedical Engineer. In the event of substandard performance, the supplier shall rectify the deficiency at its own cost within 5 working days of written notification from the Manchester hospital management.
  9. Health and Safety: The Biomedical Engineer shall comply with all health and safety policies of Manchester Royal Medical Centre, including the Management of Health and Safety at Work Regulations 1999. The engineer must complete the hospital's mandatory induction and site-specific safety training before commencing work at any United Kingdom Manchester facility.
  10. Intellectual Property: All reports, risk assessments, calibration data, and documentation produced specifically for Manchester Royal Medical Centre under this Purchase Order shall be the sole intellectual property of the hospital. The Biomedical Engineer shall not reuse, reproduce, or distribute such materials without express written permission.
4. Acceptance and Authorisation
