1. SCOPE OF ENGAGEMENT – BIOMEDICAL ENGINEER SERVICES

This Purchase Order is issued by Meridian Health Systems, Inc. (hereinafter referred to as the "Purchasing Entity") to Apex Biomedical Consulting Group LLC (hereinafter referred to as the "Vendor") for the professional services of a qualified Biomedical Engineer. The Biomedical Engineer shall be engaged to perform comprehensive medical device calibration, clinical engineering support, and biomedical equipment lifecycle management across all Meridian Health Systems facilities located within the five boroughs of United States New York City. The Biomedical Engineer must hold a valid New York State Professional Engineer (P.E.) license in the field of Biomedical Engineering, issued by the New York State Education Department, and must maintain current certification through the Board of Certification in Biomedical Engineering (BCBE).

3. TERMS AND CONDITIONS
  1. Performance Period: The Biomedical Engineer services described in this Purchase Order shall commence on July 1, 2025, and shall continue through June 30, 2026, unless terminated earlier in accordance with the provisions herein.
  2. Compliance with Local Regulations: The Vendor and the assigned Biomedical Engineer shall comply with all applicable federal, New York State, and United States New York City regulations, including but not limited to the New York City Administrative Code, Title 41 (Health), and all guidelines issued by the NYC Department of Health and Mental Hygiene. The Biomedical Engineer must maintain a valid NYC work permit and shall be subject to all local labor laws governing professional engineering services.
  3. Licensing and Certification: The Biomedical Engineer engaged under this Purchase Order must hold and maintain an active New York State Professional Engineer license (Biomedical Engineering discipline) and a current BCBE certification. Copies of all licenses and certifications must be provided to the Purchasing Entity prior to the commencement of services.
  4. Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under New York State General Obligations Law.
  5. Insurance Requirements: The Vendor shall maintain, at its own expense, professional liability insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, general liability insurance of $1,000,000, and workers' compensation insurance as required by New York State law. All policies must name Meridian Health Systems, Inc. as an additional insured.
  6. Confidentiality: The Biomedical Engineer shall have access to proprietary medical device data, patient safety records, and facility engineering plans. All such information shall be treated as strictly confidential in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and New York State Public Health Law Article 27-F.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued obligations or liabilities.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising hereunder shall be resolved in the state or federal courts located in New York County, United States New York City.
  9. Non-Assignment: The Vendor shall not assign or subcontract any portion of the Biomedical Engineer services without the prior written consent of the Purchasing Entity. The specific Biomedical Engineer identified for this engagement shall not be replaced without mutual agreement.
  10. Work Location: Primary work shall be performed at the Meridian Manhattan Campus, 125 West 55th Street, New York, NY 10019. Additional work locations within United States New York City may be designated by the Purchasing Entity with reasonable advance notice.
NOTE: This Purchase Order is subject to the approval of the Meridian Health Systems Board of Directors and the NYC Office of Contract Services. The Biomedical Engineer services described herein are exempt from certain NYC procurement thresholds under Administrative Code Section 6-108. All work performed within the boundaries of United States New York City shall be subject to local prevailing wage requirements where applicable. 4. AUTHORIZATION AND ACCEPTANCE
