1. Acceptance: This Purchase Order constitutes a formal offer to engage the Business Consultant. Acceptance is confirmed upon written signature by both parties. The Business Consultant shall not commence any work under this Purchase Order until a fully executed copy is returned to the Buyer.

2. Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Toronto under the rules of the Arbitration Association of Canada.

3. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate prescribed under the Ontario Interest Act. All payments shall be made in Canadian Dollars via electronic funds transfer to the account designated by the Business Consultant.

4. Deliverables & Milestones: The Business Consultant shall submit written progress reports at the end of each calendar month. Major deliverables corresponding to each line item in this Purchase Order must be approved in writing by the Buyer's Chief Operating Officer before the next phase commences. Failure to meet agreed milestones without written justification may result in a reduction of the corresponding fee as outlined in the master service agreement.

5. Confidentiality: The Business Consultant acknowledges that, in the course of performing services in Canada Toronto, they will have access to proprietary financial data, client lists, and trade secrets of Northlake Strategic Ventures Inc. All such information shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent, in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and Ontario's Personal Health Information Protection Act where applicable.

6. Independent Contractor Status: The Business Consultant is engaged as an independent contractor and not as an employee, agent, or partner of the Buyer. The Business Consultant is solely responsible for all income tax, Canada Pension Plan contributions, and Employment Insurance premiums associated with the compensation received under this Purchase Order.

7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered and approved deliverables completed up to the effective date of termination. The Business Consultant shall return all confidential materials and work product within ten (10) business days of the termination notice.

8. Insurance: The Business Consultant shall maintain, at their own expense, commercial general liability insurance with a minimum coverage of $5,000,000 per occurrence and professional liability (errors and omissions) insurance of no less than $2,000,000, valid throughout the term of this Purchase Order in Canada Toronto.

9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, pandemics, government orders, or disruptions specific to the Canada Toronto region, provided that the affected party gives prompt written notice.

10. Entire Agreement: This Purchase Order, together with the Master Service Agreement dated March 3, 2025, constitutes the entire agreement between the parties with respect to the Business Consultant engagement described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order.
