The Business Consultant shall operate primarily out of the China Guangzhou office and shall deliver all professional services in accordance with the scope, timeline, and deliverables specified herein. The engagement of this Business Consultant is intended to support the Buyer's growth objectives within the Greater Bay Area and broader Guangdong Province market.

The Business Consultant engaged under this Purchase Order shall perform all duties from the designated office located in China Guangzhou, Tianhe District. The Business Consultant is expected to be physically present at the Buyer's premises in China Guangzhou a minimum of three (3) business days per week for the duration of the project-based engagements (Items 01, 02, and 04). For the retainer-based engagements (Items 03 and 05), the Business Consultant shall maintain a dedicated point of contact and provide remote support supplemented by bi-weekly on-site visits to the China Guangzhou office.

All deliverables, reports, strategic documents, and advisory materials produced by the Business Consultant shall be submitted in both Simplified Chinese and English. The Business Consultant shall ensure that all recommendations are compliant with the laws and regulations of the People's Republic of China, including but not limited to the Company Law of the PRC, the Anti-Unfair Competition Law, and applicable Guangdong Province local ordinances governing professional services in China Guangzhou.

• Advance Payment: 30% of the total Purchase Order value (CNY 336,762.00) shall be due within ten (10) business days of the Buyer's written acceptance of this Purchase Order.
• Milestone Payments (Items 01 & 02): 40% of the applicable project fee shall be payable upon delivery and acceptance of the final strategic report or optimization implementation plan by the Buyer's Procurement Director.
• Monthly Retainer (Items 03 & 05): Invoices shall be issued on the 1st of each calendar month for services rendered in the preceding month. Payment shall be due within thirty (30) days of invoice date.
• Workshop Fees (Item 04): 50% due upon scheduling confirmation; 50% due within fifteen (15) days following completion of each workshop session.
• Final Balance: The remaining 30% of project-based fees shall be payable within thirty (30) days of final project sign-off.
• All payments shall be made via bank transfer to the Supplier's designated account in China Guangzhou. The Buyer shall bear no foreign exchange or cross-border transfer fees as all transactions are domestic within the PRC.

• 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. The Business Consultant's engagement is governed by the terms set forth in this document and the Master Service Agreement (MSA) dated 01 January 2025.
• 5.2 The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of the Buyer. A Non-Disclosure Agreement (NDA) executed in China Guangzhou on 10 June 2025 remains in full force and effect.
• 5.3 The Business Consultant shall carry professional indemnity insurance with a minimum coverage of CNY 5,000,000, valid throughout the term of this Purchase Order. Certificates of insurance shall be provided to the Buyer upon request.
• 5.4 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Business Consultant fails to meet agreed-upon performance benchmarks for two (2) consecutive months. In such an event, the Buyer shall be liable only for services actually rendered up to the termination date.
• 5.5 Any disputes arising from this Purchase Order shall be resolved through mediation in China Guangzhou, administered by the Guangzhou Arbitration Commission. If mediation fails, the matter shall be referred to the People's Court of Tianhe District, China Guangzhou.
• 5.6 The Business Consultant shall not subcontract any portion of the services described in this Purchase Order without the prior written consent of the Buyer. All work shall be performed by the named Business Consultant or their directly supervised team based in China Guangzhou.
• 5.7 Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting China Guangzhou, shall suspend obligations under this Purchase Order for the duration of the event, with a maximum suspension period of sixty (60) days before either party may terminate without penalty.
• 5.8 All intellectual property created specifically for the Buyer under this Purchase Order shall vest in the Buyer upon full payment. The Business Consultant retains the right to use anonymized, aggregated methodologies and frameworks in future engagements, provided no confidential Buyer information is disclosed.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Business Consultant in China Guangzhou. This Purchase Order supersedes all prior quotations, proposals, and verbal agreements related to the described services.
