This Purchase Order is issued by Shanghai Horizon Industrial Group Co., Ltd. (hereinafter referred to as the "Buyer") to formally engage Shanghai Apex Business Consulting Ltd. (hereinafter referred to as the "Seller") to provide comprehensive Business Consultant services within the China Shanghai metropolitan area. The scope of this engagement encompasses strategic advisory, operational restructuring, market entry analysis, and regulatory compliance guidance tailored specifically to the unique commercial environment of China Shanghai.

1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Seller. The Seller must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order. Failure to respond within this period shall be construed as rejection of this Purchase Order.
2. Scope of Business Consultant Services: The Business Consultant shall devote a minimum of 40 hours per week to the Buyer's engagement. All deliverables must be produced in both English and Simplified Chinese to ensure full compliance with the regulatory requirements of China Shanghai. The Business Consultant shall maintain a dedicated project team based in the Seller's Jing'an District office, Shanghai.
3. Payment Schedule: Payment shall be made in four (4) equal quarterly installments of CNY 632,500.00 each, due within thirty (30) calendar days of the end of each quarter. All payments shall be made via bank transfer to the Seller's designated account at Bank of China, Shanghai Branch. The Buyer reserves the right to withhold payment for any deliverable that does not meet the quality standards specified in this Purchase Order.
4. Confidentiality: The Business Consultant acknowledges that all proprietary information, trade secrets, financial data, and strategic plans of the Buyer are strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. The Business Consultant shall comply with the Personal Information Protection Law of the People's Republic of China and all applicable data handling regulations in China Shanghai.
5. Intellectual Property: All reports, analyses, strategies, and deliverables produced by the Business Consultant under this Purchase Order shall be the exclusive property of the Buyer. The Business Consultant shall not reuse, republish, or disclose any portion of the deliverables to third parties without the prior written consent of the Buyer.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Business Consultant shall return all Buyer documents and materials within ten (10) business days of the termination notice.
7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through negotiation. If negotiation fails, the dispute shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for arbitration in accordance with its rules. The language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, with specific reference to the commercial regulations applicable to the Shanghai municipality.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in China Shanghai.
10. Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.

All services under this Purchase Order shall be performed primarily at the Buyer's headquarters located at 888 Century Avenue, Pudong New Area, Shanghai, China. The Business Consultant may also conduct on-site visits to the Buyer's secondary offices in Jing'an District and Minhang District, Shanghai, as required. All in-person meetings, workshops, and advisory sessions shall be conducted within the administrative boundaries of China Shanghai unless otherwise agreed in writing by both parties.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Business Consultant services in China Shanghai. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein.
