Scope of Services & Line Items

This Purchase Order is issued by Horn of Africa Development & Investment PLC to formally engage Addis Strategic Advisory & Consulting Group to provide comprehensive Business Consultant services within the Ethiopia Addis Ababa metropolitan area. The Business Consultant shall deliver strategic advisory, operational restructuring, market analysis, and organizational development support as detailed in the line items below.

Note: All prices are quoted in Ethiopian Birr (ETB) and are inclusive of all travel, accommodation, and local transportation costs within the Ethiopia Addis Ababa city limits. Any services required outside the Addis Ababa metropolitan area shall be subject to a separate amendment to this Purchase Order with additional travel and per diem charges at a rate of ETB 12,000 per day. Acceptance: This Purchase Order shall become binding upon written acceptance by the Business Consultant (Addis Strategic Advisory & Consulting Group) within ten (10) business days of the date of issue. Failure to respond within this period shall constitute automatic rejection of this Purchase Order.
Commencement: The Business Consultant shall commence all services no later than 1 July 2025. The Business Consultant is required to submit a detailed project timeline and work plan to the Purchasing Entity within five (5) business days of Purchase Order acceptance.
Payment Terms: Payment for lump-sum items (Items 01 through 04 and 06) shall be made in three (3) equal installments: 30% upon commencement, 40% upon mid-project milestone review, and 30% upon final delivery and acceptance of deliverables. The monthly retainer (Item 05) shall be invoiced on the 1st of each month and paid within fifteen (15) calendar days via bank transfer to the Business Consultant's designated account at Commercial Bank of Ethiopia, Addis Ababa branch.
Deliverables: The Business Consultant shall deliver all reports, presentations, training materials, and advisory documents in both English and Amharic. All deliverables must be submitted in both hard copy (three copies) and electronic format (PDF and editable files) to the Purchasing Entity's office in Ethiopia Addis Ababa.
Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, financial data, trade secrets, and strategic plans of the Purchasing Entity. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Intellectual Property: All reports, analyses, models, and materials produced specifically for the Purchasing Entity under this Purchase Order shall be the sole intellectual property of Horn of Africa Development & Investment PLC. The Business Consultant retains the right to use general methodologies and frameworks not specific to the Purchasing Entity.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the Purchasing Entity.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the Commercial Code of the Federal Democratic Republic of Ethiopia and applicable Ethiopian commercial laws. Any disputes arising from this Purchase Order shall be resolved through arbitration in Ethiopia Addis Ababa in accordance with the rules of the Ethiopian Arbitration and Conciliation Center.
Compliance: The Business Consultant warrants that all services shall be performed in full compliance with Ethiopian labor laws, tax regulations, and professional consulting standards. The Business Consultant shall maintain all necessary professional licenses and registrations valid in Ethiopia Addis Ababa throughout the engagement period.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, civil unrest, or pandemics affecting Ethiopia Addis Ababa.
