This Purchase Order is issued by Meridian Enterprise Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of Arjun Mehta, a certified Business Consultant operating through Mehta Strategic Advisory LLP (hereinafter referred to as the "Vendor" or "Business Consultant"), for the provision of strategic business advisory services. The entire engagement shall be executed and delivered within the jurisdiction of India Mumbai, specifically at the Buyer's registered office located in Bandra-Kurla Complex, Mumbai, Maharashtra, India, unless otherwise agreed in writing by both parties.

The Business Consultant shall provide comprehensive advisory services as outlined above. All deliverables, including but not limited to strategic reports, process flowcharts, financial models, and implementation roadmaps, shall be submitted in both digital (PDF and editable formats) and hard copy (three copies) to the Buyer's office in India Mumbai. The Business Consultant is expected to conduct a minimum of four on-site working days per week at the Buyer's premises in Bandra-Kurla Complex, Mumbai, and shall maintain regular communication with the Buyer's senior management team throughout the engagement period.
- Governing Law: This Purchase Order and the resulting engagement shall be governed by and construed in accordance with the laws of the Republic of India, specifically the Indian Contract Act, 1872, and all applicable regulations of the state of Maharashtra, India Mumbai.
- Payment Schedule: Payment shall be made in four equal quarterly installments of ’ 8,72,500 each, payable within thirty (30) days of receipt of a valid tax invoice from the Business Consultant. All payments shall be made via NEFT/RTGS to the Vendor's designated bank account in Mumbai, India.
- Tax and Compliance: The Business Consultant shall be responsible for all applicable taxes, including Goods and Services Tax (GST) at 18%, Professional Tax as per Maharashtra State regulations, and any other statutory deductions. The Vendor shall provide a valid GST invoice for each payment cycle.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Intellectual Property: All reports, analyses, models, and deliverables created specifically for the Buyer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Business Consultant retains the right to use general methodologies and frameworks not specific to the Buyer.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination. The Business Consultant shall return all Buyer documents and data within seven (7) days of termination.
- Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra, India. The language of arbitration shall be English.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, or public health emergencies affecting operations in India Mumbai.
- Non-Solicitation: During the engagement period and for twelve (12) months thereafter, the Business Consultant shall not solicit or hire any employee of the Buyer without prior written consent.
- Insurance: The Business Consultant shall maintain professional indemnity insurance of not less than ’ 50,00,000 (Fifty Lakh Indian Rupees) for the duration of the engagement, with the Buyer named as an additional insured party.
This Purchase Order constitutes a formal and binding request for the Business Consultant to commence services as described herein. By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this document. This Purchase Order is valid only when signed and stamped by authorized representatives of both the Buyer and the Vendor.
