This Purchase Order is issued by Al-Rasidh Business Consultancy Group, headquartered in Iraq Baghdad, to formally engage the services of a qualified Business Consultant for the purpose of providing strategic advisory, operational restructuring, and market-entry analysis services. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both authorized parties and governs all terms, conditions, deliverables, and financial obligations related to the engagement of the Business Consultant in the Iraq Baghdad market.

The Business Consultant engaged under this Purchase Order shall provide comprehensive advisory services to the Buyer's operations in Iraq Baghdad. The scope of work includes, but is not limited to: (a) conducting a full operational audit of the Buyer's existing business processes in Baghdad; (b) developing a three-year strategic growth plan tailored to the Iraqi commercial landscape; (c) advising on regulatory compliance with the Iraqi Ministry of Commerce and the Baghdad Municipality business licensing authority; (d) performing competitive market analysis within the Al-Mansour, Al-Karrada, and Al-Mansour commercial zones of Baghdad; and (e) providing ongoing quarterly performance reviews for a period of twelve (12) months from the commencement date.

All payments under this Purchase Order shall be made in US Dollars (USD) via bank transfer to the Supplier's designated account at the Central Bank of Iraq, Baghdad Branch. The payment schedule is as follows: (a) 25% advance payment upon execution of this Purchase Order; (b) 25% upon delivery and acceptance of the Operational Audit Report; (c) 25% upon delivery of the Strategic Growth Plan and Market Analysis; and (d) the remaining 25% to be paid in four equal quarterly installments corresponding to the Business Consultant retainer period. All invoices must reference this Purchase Order number (PO-2025-00487) and shall be payable within thirty (30) calendar days of receipt. Late payments shall incur a penalty of 1.5% per month in accordance with Iraqi commercial law.

The Business Consultant shall perform all services physically within the Iraq Baghdad metropolitan area, with primary work conducted at the Buyer's offices in the Al-Mansour District. All deliverables shall be submitted in both Arabic and English. The Business Consultant shall attend a minimum of two (2) on-site meetings per week at the Buyer's premises. All work products, reports, and strategic documents produced under this Purchase Order shall remain the exclusive intellectual property of the Buyer. The Business Consultant shall comply with all applicable laws of the Republic of Iraq, including but not limited to the Iraqi Companies Law (No. 21 of 1997), the Iraqi Tax Law, and all Baghdad municipal regulations governing professional services.

1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law.
2. The Business Consultant shall maintain full professional confidentiality regarding all proprietary information, trade secrets, and business data of the Buyer. A separate Non-Disclosure Agreement (NDA) shall be executed concurrently with this Purchase Order.
3. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
4. The Business Consultant shall carry professional liability insurance with a minimum coverage of USD 250,000, valid throughout the duration of this engagement in Iraq Baghdad.
5. This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not executed within this period, a new Purchase Order must be issued.
6. Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in Baghdad, Iraq, shall excuse timely performance. The affected party shall notify the other within five (5) business days.
7. All communications regarding this Purchase Order shall be directed to the authorized signatories listed above. Verbal modifications to this Purchase Order shall be null and void unless confirmed in writing.
