This Purchase Order is issued by Zenith Corporate Solutions Ltd. to engage the services of Strategic Advisory Partners (Nigeria) Ltd. as a Business Consultant to provide comprehensive strategic advisory, operational restructuring, and market expansion planning services. The Business Consultant shall be physically based in Nigeria Abuja and shall conduct all on-site consultations, stakeholder meetings, and field assessments within the Federal Capital Territory and its environs. The scope of this Business Consultant engagement is governed by the terms set forth in this Purchase Order and the attached Statement of Work (SOW-2025-089).

All payments under this Purchase Order shall be made in Nigerian Naira (NGN) via bank transfer to the account of Strategic Advisory Partners (Nigeria) Ltd. at Zenith Bank Plc, Maitama Branch, Nigeria Abuja (Account No: 1012-3456-7890). Payment shall be structured as follows: 30% advance payment upon execution of this Purchase Order; 40% upon completion of the mid-term deliverables; and 30% upon final acceptance of all Business Consultant deliverables. Invoices must be submitted to the procurement department in Nigeria Abuja no later than the 5th business day of each billing cycle. Late payments shall attract a penalty of 2% per month as stipulated under Nigerian commercial law.
- This Purchase Order is governed by the laws of the Federal Republic of Nigeria, and any disputes arising from the Business Consultant engagement shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- The Business Consultant shall maintain full confidentiality of all proprietary information, trade secrets, and strategic data of Zenith Corporate Solutions Ltd. for a period of three (3) years following the conclusion of this Purchase Order.
- All deliverables produced by the Business Consultant shall be the exclusive intellectual property of the Purchaser upon full payment. The Business Consultant retains no right to reproduce, distribute, or publish findings without written consent.
- The Business Consultant shall comply with all applicable regulations of the Federal Capital Territory Authority (FCTA), Nigeria Abuja, including but not limited to business licensing, data protection (NDPR 2019), and tax obligations.
- The Purchaser reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Business Consultant fails to meet agreed performance milestones or breaches any material term herein.
- All on-site work, meetings, and consultations shall be conducted at the Purchaser's premises in Nigeria Abuja or at mutually agreed locations within the Federal Capital Territory, unless otherwise specified in the Statement of Work.
- The Business Consultant shall provide a weekly progress report to the Purchaser's management team every Friday, and a comprehensive monthly report by the 5th of each subsequent month.
- This Purchase Order becomes effective upon signature by both parties and remains valid until the completion of all services or the date of 15 June 2026, whichever is earlier.
- Force majeure events, including but not limited to government shutdowns in Nigeria Abuja, natural disasters, or public health emergencies, shall suspend obligations under this Purchase Order for the duration of the event.
All Business Consultant deliverables, including but not limited to strategic plans, audit reports, training materials, and advisory memoranda, shall be submitted in both hard copy (three copies) and digital format (PDF and editable documents) to the Purchaser's office in Nigeria Abuja. The Purchaser shall have fourteen (14) calendar days from the date of submission to review and either accept or request revisions. Failure to respond within this period shall constitute deemed acceptance of the Business Consultant's deliverables.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Business Consultant in Nigeria Abuja.
