- Payment Schedule: The total amount of PKR 2,802,500 (Two Million Eight Hundred Two Thousand Five Hundred Pakistani Rupees) shall be paid in the following installments: 30% advance upon signing of this Purchase Order, 40% upon completion of Phase 1 deliverables (Items 1–3), 20% upon completion of Phase 2 deliverables (Items 4–7), and 10% upon successful completion of the 12-month post-implementation support period.
- Payment Method: All payments shall be made via bank transfer to the Business Consultant's designated account at HBL (Habib Bank Limited), F-7 Branch, Pakistan Islamabad. Account details: IBAN PK00HABB0000000123456789, Account Title: Strategic Advisory Partners (Pvt.) Ltd.
- Invoice Requirements: The Business Consultant shall submit a detailed tax invoice bearing the STRN number, NTN, and a breakdown of services rendered for each installment. Invoices must be submitted to the Accounts Department at Al-Madina Enterprise Solutions, Blue Area, Pakistan Islamabad, no later than five (5) business days prior to the payment due date.
- Payment Due Date: Payment shall be processed within fifteen (15) calendar days of receipt of a valid and approved invoice. Late payments shall attract a penalty of 1.5% per month as per the prevailing interest rates in Pakistan Islamabad.
- Withholding Tax: The Purchasing Party shall deduct applicable withholding tax at the rate prescribed by the Federal Board of Revenue (FBR) for professional services rendered in Pakistan Islamabad and shall issue the relevant tax certificate to the Business Consultant.
- Acceptance: This Purchase Order shall become binding upon written acceptance by the Business Consultant within seven (7) calendar days of the date of issue. Failure to respond within this period shall be construed as rejection of this Purchase Order.
- Confidentiality: The Business Consultant agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, financial data, and strategic plans of Al-Madina Enterprise Solutions. A separate Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of services in Pakistan Islamabad.
- Intellectual Property: All reports, models, strategies, and deliverables produced under this Purchase Order shall become the exclusive property of the Purchasing Party upon full payment. The Business Consultant retains the right to use anonymized case studies for academic or professional reference purposes.
- Performance Standards: The Business Consultant shall adhere to the timelines specified in the scope of services. Any delay exceeding five (5) business days without prior written approval from the Purchasing Party shall result in a deduction of 2% of the applicable milestone payment per day of delay.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the date of termination, and all work-in-progress deliverables shall be handed over to the Purchasing Party.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Pakistan Islamabad, Federal Capital Territory.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Islamabad, or acts of war.
- Subcontracting: The Business Consultant shall not subcontract any portion of the services without prior written consent from the Purchasing Party. Any approved subcontractor shall be bound by the same terms and conditions as stated in this Purchase Order.
- Amendments: Any modification or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall not be valid or enforceable.
