2. SCOPE OF ENGAGEMENT – BUSINESS CONSULTANT SERVICES

This Purchase Order is issued by Al-Madina Industrial Holdings (Pvt) Ltd., a registered manufacturing and trading enterprise operating from its principal office in Pakistan Karachi, to formally engage the services of Ms. Fatima Noor Siddiqui, a certified Business Consultant specializing in operational strategy, supply chain optimization, and financial restructuring. The engagement is governed by the terms set forth in this document and shall be executed in accordance with the laws of the Islamic Republic of Pakistan, including the Sale of Goods Act 1930, the Contract Act 1872, and applicable regulations of the Securities and Exchange Commission of Pakistan (SECP) where relevant.

The Business Consultant shall provide comprehensive advisory services to the Purchasing Party over a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026. All on-site consultations, site visits, and in-person strategy sessions shall be conducted at the Purchasing Party's facilities located in Pakistan Karachi, specifically at the Clifton industrial zone and the Korangi industrial estate. The Business Consultant is expected to dedicate a minimum of twenty (20) working days per month to this engagement, with the remaining time allocated to remote analysis, report preparation, and stakeholder coordination.

4. PAYMENT TERMS AND CONDITIONS
  1. Payment Schedule: The total value of this Purchase Order shall be disbursed in four (4) equal quarterly installments of PKR 3,000,150 each. The first installment shall be due within fifteen (15) calendar days of the execution of this Purchase Order. Subsequent installments shall be due on 30 September 2025, 31 December 2025, and 31 March 2026, respectively.
  2. Payment Method: All payments shall be made via bank transfer to the Business Consultant's designated account at HBL Bank, I.I. Chundrigar Road Branch, Pakistan Karachi. Account details: IBAN PK00 HBLA 0012 3456 7890 1234. No cash payments shall be accepted under this Purchase Order.
  3. Withholding Tax: The Purchasing Party shall deduct and remit withholding tax at the rate prescribed by the Federal Board of Revenue (FBR), Pakistan, on professional service fees. The Business Consultant shall provide a valid tax deduction certificate upon request.
  4. Late Payment: In the event of delayed payment beyond the stipulated due date, interest shall accrue at the rate of 1.5% per month on the outstanding balance, in accordance with prevailing commercial lending rates in Pakistan Karachi.
  5. Invoice Requirements: The Business Consultant shall submit a detailed invoice along with each installment request, itemizing the specific services rendered during the preceding quarter. All invoices must bear the consultant's NTN number and be stamped with the firm's official seal.
5. TERMS AND CONDITIONS OF ENGAGEMENT
  1. Confidentiality: The Business Consultant shall treat all proprietary information, trade secrets, financial data, and strategic documents of Al-Madina Industrial Holdings (Pvt) Ltd. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years. Any breach of confidentiality shall render the Business Consultant liable for damages as determined by a court of competent jurisdiction in Pakistan Karachi.
  2. Deliverables: The Business Consultant shall submit written progress reports on the last working day of each month. A comprehensive final report, including actionable recommendations and a 24-month implementation roadmap, shall be delivered within thirty (30) days of the engagement's conclusion.
  3. Intellectual Property: All reports, models, strategies, and documents prepared specifically for the Purchasing Party under this Purchase Order shall become the sole intellectual property of Al-Madina Industrial Holdings (Pvt) Ltd. upon full payment of the corresponding fee.
  4. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of termination, the Purchasing Party shall pay for all services rendered up to the effective date of termination, less any unutilized advance.
  5. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act 1940, with the seat of arbitration in Pakistan Karachi. The language of arbitration shall be English.
  6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. The courts of Pakistan Karachi shall have exclusive jurisdiction over any legal proceedings not subject to arbitration.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or civil unrest in Pakistan Karachi or elsewhere in Pakistan.
NOTE: This Purchase Order constitutes a binding agreement upon signature by both parties. The Business Consultant acknowledges that all on-site work shall be performed within the jurisdiction of Pakistan Karachi, and all applicable local labor, tax, and regulatory requirements shall be complied with. A copy of this Purchase Order shall be retained by both parties for a minimum period of seven (7) years as per Pakistan's tax record-keeping regulations. 6.
