This Purchase Order authorizes the engagement of the named Business Consultant to provide the following professional services to Moscow Industrial Holdings LLC. The Business Consultant shall perform all duties in accordance with the Statement of Work (SOW) attached hereto as Appendix A and in compliance with all applicable Russian Federation labor and commercial regulations.

1. Acceptance of Purchase Order: By signing this Purchase Order, the Business Consultant (Strategic Advisory Partners LLC) acknowledges and accepts all terms, conditions, service descriptions, and pricing outlined herein. This Purchase Order constitutes a binding commercial agreement between the parties under the Civil Code of the Russian Federation.
2. Service Delivery in Russia Moscow: All on-site services, including but not limited to workshops, audits, advisory sessions, and training programs, shall be physically delivered at the Russia Moscow address specified in Section 2. The Business Consultant is responsible for all travel, accommodation, and local transportation costs within the Russia Moscow metropolitan area.
3. Payment Schedule: Payment shall be made in three equal installments: 33% upon execution of this Purchase Order, 33% upon completion of the Operational Process Audit (Line Item 2), and 34% upon final delivery of all remaining deliverables. Each installment is due within 30 calendar days of the corresponding invoice date.
4. Confidentiality: The Business Consultant shall treat all proprietary information, trade secrets, financial data, and strategic plans of Moscow Industrial Holdings LLC as strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
5. Intellectual Property: All reports, analyses, strategic plans, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of Moscow Industrial Holdings LLC upon full payment.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Business Consultant shall be compensated for all services rendered up to the termination date, and all work-in-progress deliverables shall be handed over to Moscow Industrial Holdings LLC.
7. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved by the Arbitration Court of the City of Moscow, Russia Moscow.
8. Compliance: The Business Consultant warrants that all services shall be performed in full compliance with applicable Russian Federation legislation, including but not limited to the Federal Law on Accounting, the Tax Code of the Russian Federation, and all anti-corruption regulations applicable in Russia Moscow.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 401 of the Civil Code of the Russian Federation.

This Purchase Order is issued and authorized by the undersigned representatives of both parties. The Business Consultant confirms receipt of this Purchase Order and agrees to perform the services as described herein.

This Purchase Order (PO-RM-2025-0487) is a controlled document. Unauthorized reproduction or distribution is prohibited. All references to Russia Moscow in this document denote the City of Moscow, Russian Federation, and its immediate metropolitan administrative district. The Business Consultant engagement described herein is subject to the full terms of the Master Services Agreement (MSA-2024-012) executed between the parties on 1 January 2024.
