This Purchase Order is issued by Al-Riyadh Enterprise Group Co. - This Purchase Order constitutes a binding agreement between the Issuing Company and the Business Consultant for the provision of professional consulting services in Riyadh, Saudi Arabia. Both parties acknowledge and agree to the terms set forth herein.
- The Business Consultant shall commence all services no later than 20 June 2025 and shall complete all deliverables by 30 September 2025. All on-site work shall be conducted at the Issuing Company's premises located in the Al Olaya District, Riyadh, Saudi Arabia, unless otherwise agreed in writing.
- Payment shall be made in three equal installments: 30% upon execution of this Purchase Order, 40% upon completion of the midpoint milestone review, and 30% upon final acceptance of all deliverables. All payments shall be processed via bank transfer to the Business Consultant's designated account in Saudi Arabia.
- The Business Consultant shall maintain full confidentiality regarding all proprietary information, trade secrets, and business data of the Issuing Company. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- All services rendered by the Business Consultant shall comply with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Labor Law, the Commercial Transactions Law, and all directives issued by the Saudi Central Bank (SAMA) and the Ministry of Commerce.
- The Business Consultant shall provide a dedicated project manager based in Riyadh who shall serve as the primary point of contact for all communications, progress updates, and issue resolution related to this Purchase Order.
- Any changes to the scope of work, timeline, or deliverables must be documented in a formal Change Order signed by both parties. No additional charges shall be incurred without prior written approval from the Issuing Company's procurement department in Riyadh.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through amicable negotiation. Should negotiation fail, the matter shall be referred to the competent courts in Riyadh, Kingdom of Saudi Arabia, in accordance with Saudi law.
- The Business Consultant shall carry professional indemnity insurance with a minimum coverage of SAR 2,000,000 for the duration of the engagement. A certificate of insurance shall be provided to the Issuing Company prior to the commencement of services.
- This Purchase Order is valid for acceptance until 15 July 2025. Failure to accept within this period shall render this Purchase Order null and void without further notice.
