1. Payment shall be made via bank transfer (SEPA) to the Business Consultant's designated account. Bank details: IBAN ES91 2100 0418 4502 0005 1332, BIC/SWIFT: CAIXESBBXXX, Bank: CaixaBank S.A., Barcelona, Spain.
2. Invoicing schedule: 30% advance payment upon signature of this Purchase Order; 40% upon completion of Line Items 01 through 03; 30% upon final delivery of all deliverables and acceptance by the Purchasing Entity.
3. Payment is due within 30 calendar days from the date of invoice receipt. Late payments shall accrue interest at the rate established under Spanish Royal Decree-Law 4/2013 on late payment in commercial transactions.
4. The monthly retainer (Line Item 06) shall be invoiced in arrears on the last business day of each calendar month.
Terms and Conditions1. Governing Law. This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of Spain, specifically the Spanish Civil Code and the Commercial Code (Código de Comercio). Any disputes shall be subject to the exclusive jurisdiction of the courts of Barcelona, Spain.
2. Confidentiality. The Business Consultant agrees to maintain strict confidentiality over all proprietary information, trade secrets, financial data, and strategic plans disclosed by the Purchasing Entity during the engagement in Spain Barcelona. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
3. Intellectual Property. All reports, analyses, roadmaps, and deliverables produced by the Business Consultant under this Purchase Order shall become the exclusive property of Mediterráneo Corporate Solutions S.L. upon full payment. The Business Consultant retains the right to use anonymized, aggregated findings for academic or industry publication purposes, subject to prior written approval.
4. Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchasing Entity shall pay for all services rendered up to the effective date of termination. The Business Consultant shall deliver all work-in-progress materials within fourteen (14) days of termination.
5. Force Majeure. Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government mandates, or civil unrest affecting the Spain Barcelona region.
6. Compliance. The Business Consultant warrants that all services shall be performed in full compliance with applicable Spanish labor regulations, data protection laws (including the GDPR and the Spanish Organic Law 3/2018), and anti-corruption legislation.
7. Non-Solicitation. During the term of this Purchase Order and for twelve (12) months thereafter, neither party shall directly solicit or hire employees of the other party without prior written consent.
Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for Business Consultant services to be delivered in Spain Barcelona. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
