  1. Applicable Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and all relevant regulations applicable to construction and carpentry services in Beijing, China.
  2. Carpenter Qualifications: The carpenter (Master Li Guoqiang) and all subordinate craftsmen assigned to this Purchase Order must hold valid Beijing municipal trade licenses, occupational safety certifications, and a minimum of ten (10) years of documented experience in traditional Chinese woodwork and heritage restoration carpentry.
  3. Materials: All timber, hardwood, and wood products specified in this Purchase Order must be sourced from certified sustainable suppliers within China. The carpenter shall provide material origin certificates and FSC-equivalent documentation upon request. No imported timber shall be used without prior written approval from the buyer.
  4. Payment Schedule: Payment shall be made via bank transfer to the carpenter's designated business account in Beijing. A 30% advance payment (CNY 289,740.00) is due within five (5) business days of Purchase Order acceptance. A 40% midpoint payment (CNY 386,320.00) is due upon completion of items 01 through 04. The remaining 30% (CNY 289,740.00) shall be released within ten (10) business days of final inspection and written acceptance by the buyer's project manager in Beijing.
  5. Delivery and Site Access: All carpentry work shall be performed at the project site in Dongcheng District, Beijing, China. The carpenter is responsible for transporting all tools, equipment, and materials to the site. Work hours are Monday through Saturday, 07:00 to 18:00, in compliance with Beijing municipal noise and construction regulations.
  6. Quality Assurance: The carpenter shall conduct daily self-inspections. The buyer reserves the right to perform unannounced quality audits. Any workmanship not meeting the specifications outlined in the attached architectural drawings shall be rectified by the carpenter at no additional cost within forty-eight (48) hours of notification.
  7. Warranty: The carpenter provides a warranty of three (3) years on all structural carpentry work and two (2) years on decorative and finishing elements, commencing from the date of final acceptance in Beijing.
  8. Insurance and Liability: The carpenter shall maintain comprehensive liability insurance and workers' compensation coverage for all personnel on site in Beijing, China, with a minimum coverage of CNY 2,000,000 per incident. Certificates of insurance must be submitted prior to commencement of work.
  9. Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation between the parties. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Beijing Arbitration Commission in accordance with its then-current rules.
  10. Confidentiality: The carpenter agrees to maintain strict confidentiality regarding all project plans, architectural drawings, and proprietary design elements related to this Purchase Order in China Beijing. This obligation survives the termination of this agreement for a period of five (5) years.
  11. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the carpenter shall be compensated for all work completed and materials procured up to the date of termination, subject to verification by the buyer.
IMPORTANT NOTE: This Purchase Order for carpenter services in China Beijing is subject to the project's environmental impact assessment approval from the Beijing Municipal Commission of Ecology and Environment. The carpenter must comply with all dust suppression, waste disposal, and air quality regulations in force in Beijing at the time of execution. Failure to comply may result in work stoppage and financial penalties as stipulated by local ordinance.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for carpenter services to be executed in China Beijing. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
