3. Scope of Work — Carpenter Services

This Purchase Order is issued by Guangzhou Horizon Interior Design Co., Ltd. to Liang & Sons Master Carpenter Workshop for the provision of professional Carpenter services, custom woodwork fabrication, and on-site installation at the following project site in China Guangzhou: 288 Zhujiang New Town, Tianhe District, China Guangzhou. The Carpenter shall be responsible for all aspects of woodwork design execution, material preparation, joinery, finishing, and final installation as detailed below.

5. Delivery and Installation Schedule

All Carpenter work under this Purchase Order shall commence on June 20, 2025, and the Lead Carpenter and his team shall complete all fabrication, installation, and finishing work no later than July 25, 2025. The Carpenter is expected to be present at the project site in China Guangzhou during standard working hours (08:00–17:30, Monday through Saturday). Any delays caused by the Carpenter or his subcontractors shall be subject to a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.

6. Payment Terms and Conditions

Advance Payment (30%): CNY 60,409.80 due within 5 business days of signing this Purchase Order, payable via bank transfer to the Carpenter's designated account in China Guangzhou.
Progress Payment (40%): CNY 80,546.40 due upon completion of all cabinetry fabrication and flooring installation, subject to written approval by the Buyer's project manager.
Final Payment (30%): CNY 60,409.80 due within 15 business days after final inspection and sign-off of all Carpenter work at the China Guangzhou site.
All payments shall be made in Chinese Yuan (CNY) to the following account: Bank of China, Guangzhou Branch, Account Name: Liang & Sons Master Carpenter Workshop, Account No.: 4401 2345 6789 0123.
The Carpenter shall provide a valid VAT invoice (fapiao) for each payment tranche in accordance with Chinese tax regulations.

7. Quality Standards and Acceptance

The Carpenter shall ensure that all woodwork meets the quality standards specified in the attached technical drawings (Appendix A) and complies with the National Standard of the People's Republic of China GB/T 3324-2017 for wooden furniture. All materials used must be certified and free from harmful chemicals. The Buyer reserves the right to reject any Carpenter work that does not conform to the agreed specifications. A final joint inspection shall be conducted by both parties at the China Guangzhou project site before the final payment is released.

8. Warranties and Liability

The Carpenter provides a warranty of 24 months on all fabricated woodwork and 12 months on installation labor. During the warranty period, any defects in workmanship or materials shall be repaired by the Carpenter at no additional cost to the Buyer. The Carpenter shall carry valid professional liability insurance covering a minimum of CNY 1,000,000 for any damage caused to the property or third parties during the execution of work in China Guangzhou.

9. Governing Law and Dispute Resolution

This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from or in connection with this Purchase Order shall first be resolved through friendly negotiation between the Buyer and the Carpenter. If negotiation fails within 30 days, the dispute shall be submitted to the Guangzhou Arbitration Commission in China Guangzhou for binding arbitration.

NOTE: This Purchase Order is valid for 30 days from the date of issue. The Carpenter must confirm acceptance in writing within 5 business days. Failure to confirm shall render this Purchase Order null and void. All modifications to this Purchase Order must be made in writing and signed by both parties. 10. Authorization and Signatures
