This Purchase Order is issued by Al-Rafidain Construction & Development Co. Ltd. to engage the above-named Carpenter for the execution of all carpentry, joinery, and woodwork tasks required for the residential and commercial fit-out project located in the Karrada District of Baghdad, Iraq. The Carpenter shall be responsible for the fabrication, installation, and finishing of all wooden structural and decorative elements as specified in the attached architectural drawings (Ref: DWG-BGH-2025-118-A through F).

The Carpenter shall mobilise to the project site in Baghdad, Iraq no later than 20 June 2025. All carpentry works must be substantially completed by 15 September 2025. The final snagging and handover inspection shall take place within seven (7) calendar days of substantial completion. Any delay attributable to the Carpenter shall incur a liquidated damages charge of 500,000 IQD per calendar day, capped at 10% of the total Purchase Order value.

  • Advance Payment: 25% of the total Purchase Order value (61,335,750 IQD) shall be paid within ten (10) business days of the Carpenter's signed acceptance of this Purchase Order and submission of a valid performance bond.
  • Progress Payments: Monthly progress payments of up to 60% of the total value shall be issued upon the Carpenter's submission of a certified progress report approved by the site engineer. Invoices must be submitted by the 25th of each month.
  • Retention: 15% of each progress payment shall be retained and released in full within thirty (30) days of final acceptance and handover of all carpentry works.
  • Final Payment: The remaining balance, including release of retention, shall be paid within fourteen (14) days of the final completion certificate being issued by the project manager.
  • All payments shall be made via bank transfer to the Carpenter's designated account in Iraqi Dinar (IQD) as stated in the vendor details above.
  1. This Purchase Order is governed by the laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law No. 30 of 2010.
  2. The Carpenter warrants that all materials supplied shall be of premium grade, free from defects, and compliant with Iraqi Building Code standards (IBC 2023). The Carpenter shall provide material certificates and mill test reports upon request.
  3. The Carpenter shall maintain adequate public liability insurance (minimum 500,000,000 IQD) and workers' compensation coverage for all personnel on site throughout the duration of the works in Iraq Baghdad.
  4. The Carpenter shall comply with all local municipal regulations, environmental bylaws, and safety protocols applicable to construction activities in Baghdad, Iraq. A valid trade licence issued by the Baghdad Municipality shall be presented prior to commencement.
  5. The Carpenter shall provide a minimum of two (2) skilled carpentry apprentices to assist with the works. All personnel must present valid identification and site-access permits issued by the project security team.
  6. Any variation or change order to the scope of work defined in this Purchase Order must be agreed in writing by both parties before execution. Verbal instructions shall not constitute a valid variation.
  7. The Carpenter shall keep the work area clean and free of debris at the end of each working day. All wood offcuts and waste materials shall be disposed of in accordance with Baghdad municipal waste management regulations.
  8. This Purchase Order shall remain valid for thirty (30) days from the date of issue. If the Carpenter does not accept and return a signed copy within this period, the Purchase Order shall be deemed lapsed and may be re-issued to another qualified Carpenter.
  9. The Carpenter shall not subcontract any portion of the carpentry works without prior written consent from the Purchaser. Any approved subcontractor shall be bound by the same terms and conditions contained herein.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the Carpenter services to be performed in Iraq Baghdad.
