This Purchase Order is issued by Kyoto Heritage Restoration Ltd. to engage the above-named Carpenter for the complete restoration of a 172-year-old machiya (traditional Kyoto townhouse) located in the Higashiyama district of Japan Kyoto. Terms and Conditions
  1. Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Carpenter (Sato Kenji, Sato Woodcraft Studio) within five (5) business days of the date of issue. The Carpenter acknowledges that all work described herein shall be performed exclusively at the designated project site in Japan Kyoto, Higashiyama Ward.
  2. Payment Terms: Payment shall be made in three (3) instalments: 30% upon signed acceptance of this Purchase Order, 40% upon completion of all structural joinery work (Items 01–04), and the remaining 30% upon final inspection and sign-off by the Japan Kyoto Municipal Heritage Preservation Office. All payments shall be made via bank transfer to the account specified by the Carpenter.
  3. Timeline: The Carpenter shall commence work no later than 01 July 2025 and shall complete all services described in this Purchase Order by 01 September 2025. Any delay exceeding ten (10) business days without written justification from the Carpenter shall incur a penalty of 0.5% of the total Purchase Order value per day of delay.
  4. Materials and Standards: All timber materials must be sourced from certified Japanese forests and must meet the JIS (Japanese Industrial Standards) for structural wood. The Carpenter is responsible for verifying material quality prior to installation. All joinery work must follow traditional Kigumi techniques as prescribed by the Japan Carpenter Association.
  5. Insurance and Liability: The Carpenter shall maintain comprehensive liability insurance with a minimum coverage of JPY 50,000,000 for the duration of the project. The Carpenter shall be solely responsible for any damage to the existing heritage structure caused by negligence during the execution of this Purchase Order.
  6. Compliance with Japan Kyoto Regulations: The Carpenter shall comply with all local ordinances of Japan Kyoto, including noise restrictions (07:00–19:00 only), waste disposal regulations, and the Heritage Building Protection Act. A valid Japan Kyoto construction permit (No. KYO-BLD-2025-1187) has been obtained by the issuing company and shall be displayed at the project site.
  7. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation under the auspices of the Japan Kyoto Chamber of Commerce and Industry. If mediation fails, the matter shall be submitted to the Kyoto District Court.
  8. Confidentiality: The Carpenter agrees to treat all architectural drawings, structural assessments, and client information related to this Purchase Order as strictly confidential and shall not disclose them to any third party without written consent from Kyoto Heritage Restoration Ltd.
IMPORTANT NOTE: This Purchase Order is subject to the final approval of the Japan Kyoto Municipal Heritage Preservation Office. The Carpenter must submit weekly progress reports (in Japanese and English) to the Procurement Director. All traditional joinery work must be inspected and approved by a designated Japan Carpenter Association examiner before proceeding to the next phase.
