Payment shall be made in Korean Won (KRW) via bank transfer to the account designated by the Carpenter supplier. The payment schedule under this Purchase Order is as follows: 30% advance payment upon execution of this Purchase Order; 40% upon completion of structural framing and flooring installation; and the remaining 30% upon final inspection, acceptance, and delivery of all as-built documentation. All payments are due within 15 calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month in accordance with South Korean commercial practice.
6. Terms and Conditions- This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Korea, specifically the Korean Civil Code and the Commercial Act applicable in South Korea Seoul jurisdiction.
- The Carpenter supplier warrants that all work performed under this Purchase Order shall be executed in a workmanlike manner using materials of the grade and quality specified in Appendix B. All wood products must meet the Korean Industrial Standards (KS) for structural timber and finish lumber.
- The Carpenter shall maintain valid workers' compensation insurance and liability coverage throughout the duration of the project. Proof of insurance shall be provided prior to commencing work at the Seoul site.
- All work must comply with the Seoul Metropolitan Government's construction noise regulations, waste disposal ordinances, and fire safety requirements. The Carpenter is responsible for obtaining any additional permits required for the specific woodwork activities at the Gangnam location.
- The Buyer reserves the right to conduct quality inspections at any stage of the project. Defective work identified during inspection must be rectified by the Carpenter at no additional cost within five (5) business days.
- Disputes arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Seoul District Court for adjudication.
- This Purchase Order becomes effective upon signature by both parties and remains valid until all obligations, including the one-year warranty period on carpentry work, are fully discharged.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall hold no legal effect.
