Terms and Conditions of this Purchase Order
- This Purchase Order constitutes a binding agreement between Kampala Construction & Interiors Ltd. (hereinafter "the Buyer") and Mukasa Fine Carpentry Workshop, represented by Master Carpenter Joseph Mukasa (hereinafter "the Carpenter"), for the supply, fabrication, and installation of all carpentry items as described in the line items above.
- The Carpenter shall complete all work and deliver the finished carpentry items to the project site located in Ntinda, Kampala, Uganda, no later than 05 July 2025. Time is of the essence, and any delay beyond the stipulated date shall attract a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- Payment shall be made as follows: 50% (UGX 14,254,400) as an advance payment within five (5) business days of the Carpenter's written acceptance of this Purchase Order; the remaining 50% (UGX 14,254,400) shall be paid within seven (7) business days of final inspection, sign-off, and issuance of a completion certificate by the Buyer's project supervisor.
- All payments shall be made via bank transfer to the Carpenter's designated account at Stanbic Bank Uganda, Kampala Branch, Account No. 0102-3456-7890, in the name of Mukasa Fine Carpentry Workshop. The Buyer shall not be liable for any payment made to an account not specified in this Purchase Order.
- The Carpenter warrants that all workmanship shall be of the highest professional standard, free from defects in materials and workmanship, for a period of twelve (12) months from the date of final acceptance. Any defects discovered within this warranty period shall be rectified by the Carpenter at no additional cost to the Buyer.
- The Carpenter shall comply with all applicable laws and regulations of the Republic of Uganda, including but not limited to the Uganda Labour Act (2003), the Uganda Revenue Authority tax obligations, and all local by-laws of the Kampala Capital City Authority (KCCA) pertaining to construction and workshop operations.
- All timber, hardware, adhesives, and finishing materials used in the execution of this Purchase Order shall be of quality suitable for residential use in the tropical climate of Uganda Kampala. The Carpenter shall provide material data sheets upon request.
- The Carpenter shall maintain adequate insurance coverage, including public liability insurance and workers' compensation, for the duration of the project. Certificates of insurance shall be provided to the Buyer prior to commencement of work.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from or in connection with this Purchase Order shall be resolved through mediation in Kampala, Uganda, and failing that, through the competent courts of Kampala.
- Neither party shall be liable for failure to perform its obligations under this Purchase Order if such failure is caused by force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions within Uganda.
