1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon written acceptance by both parties. The Seller must confirm acceptance of this Purchase Order within five (5) business days of receipt.
2. The Chef and all supporting culinary staff must present valid food handler permits, health certificates, and BFSA-registered credentials prior to commencing work in Bangladesh Dhaka. Failure to provide these documents will result in immediate termination of this Purchase Order without penalty to the Buyer.
3. All ingredients and supplies listed in Item No. 04 must be sourced from licensed vendors within Bangladesh Dhaka and must comply with the Bangladesh Food Safety and Quality Authority standards. The Chef is responsible for verifying the quality and safety of all produce before preparation.
4. The Chef shall arrive at the designated venue in Bangladesh Dhaka no later than 06:00 AM on the first day of the engagement. A minimum of two (2) hours of pre-service preparation time must be guaranteed by the Buyer.
5. Any changes to the menu, guest count, or event schedule must be communicated in writing at least 72 hours before the event. Modifications requested within 72 hours may incur an additional 15% surcharge on the affected Purchase Order line items.
6. Payment shall be processed via bank transfer to the Seller's designated account in Bangladesh Dhaka. The 50% advance is due within three (3) business days of Purchase Order acceptance. The remaining 50% is due within seven (7) business days following the successful completion of the event.
7. In the event of force majeure, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Bangladesh Dhaka, either party may suspend or cancel this Purchase Order without liability, provided written notice is given within 24 hours of the triggering event.
8. All disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act of Bangladesh. The governing law for this Purchase Order shall be the laws of the People's Republic of Bangladesh.
9. The Chef and all staff engaged under this Purchase Order shall maintain professional conduct, adhere to the venue's safety protocols, and comply with all local regulations applicable to food service operations in Bangladesh Dhaka.
10. This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, the Buyer reserves the right to cancel this Purchase Order and issue a revised document.
